A RESOLUTION AUTHORIZING EXECUTION OF DOCUMENTS TO
CONCLUDE FULTON SQUARE TRANSACTION
WHEREAS, an agreement has been entered into by the City of Canton, Fulton
Square Corporation and an unidentified buyer, whereby the City of Canton and Fulton
Square Corporation will convey the real estate, buildings and leases to an unidentified
buyer; and,
WHEREAS, many legal documents are needed in order to carry out said
transaction.
NOW, THEREFORE, BE IT RESOLVED that the Mayor and City Clerk be
and they are hereby authorized to execute the documents needed to complete the
transaction. Said documents include, but are not limited to the following:
1. Warranty deed and revenue declaration;
2. Mutual Release;
3. Easement for signs along North Main Street in accordance with city ordinance;
4. Termination of Master Lease and Primary Parking Lot Use Agreement;
5. Acknowledgement of Additions to Primary Parking Area;
6. Grant of Right of First Refusal re 25 ft. strip of land on Chestnut Street side;
7. Agreement to terminate Secondary Parking Lot Use Agreement.
That this Resolution shall be in full force and effect immediately upon its passage
by the City Council of the City of Canton,, Fulton County, Illinois and approval b~ the
Mayor thereof.
PASSED by the City Council of the City_ of Canton, Fulton Countyi Illinois at a
regular meeting this 16th day of March, 1999, upon a roll call vote as follows:

Hartford,
NAYS: None.
