City Council has determined that it is necessary and in the best
Interest of the City of Canton to enter into an agreement with
Gallatin National Company to treat leachate, as hereto attached
and herein incorporated as Exhibit "A"; and,

1. That the agreement to treat leachate, hereto attached as
Exhibit "A" between the City of Canton and Gallatin National
Company, is hereby approved.
2. That the Mayor and City Clerk are hereby authorized and
directed to execute and deliver said agreement on behalf of the
City of Canton, Illinois.
3. That this Resolution shall be in full force and effect
immediately upon its passage by the City Council of the City of
Canton, Illinois.

AGREEMENT TO TREAT GALLATIN NATIONAL CO. LEACHATE
Parties to the Agreement:
THE CITY OF CANTON, an Illinois municipal corporation (hereinafter
"CANTON").
GALLATIN NATIONAL CO., an Illinois corporation (hereinafter
"GALLATIN").
DATED this 18th day of MAY , 1993.
WHEREAS, CANTON is a municipal corporation organized under the
Illinois Municipal Code, and as a municipal corporation, owns and
operates wastewater treatment plants, including the West Side
Wastewater Treatment Plant; and,
WHEREAS, GALLATIN is an Illinois corporation, developing and
planning to operate a sanitary regional pollution control facility,
hereinafter known as a "landfill", in Fairview, Fulton County,
Illinois; and,
WHEREAS, CANTON'S West Side Wastewater Treatment Plant has
excess capacity which is not now being used by CANTON, and which in
the foreseeable future will not be used by CANTON; and,
WHEREAS, GALLATIN, beginning January 1, 1993, or shortly
thereafter, will have need to have its landfill leachate treated to
comply with Illinois Environmental Protection Agency (hereinafter
"IEPA") standards; and,
WHEREAS, CANTON has had the advice of its consulting
engineers, specifically, Crawford, Murphy & Tilly, Inc.; and,
WHEREAS, GALLATIN has had the advice and consent of its
consulting engineers, as that company deems necessary; and,
WHEREAS, both CANTON and GALLATIN wish to set forth in this
agreement their respective rights and benefits, responsibilities
and duties, in regard to CANTON treating GALLATIN'S landfill
leachate; and,
WHEREAS, this agreement has been properly brought before
CANTON'S council at either a regularly-scheduled meeting or a
special meeting held in compliance with any and all laws of the
State of Illinois; and,
WHEREAS, each of the parties shall use their best efforts and
good faith in execution of this agreement;
NOW THEREFORE, in consideration of the mutual covenants,
conditions and promises hereinafter set forth, the parties agree as
follows:
1. That the initial term of this agreement shall be for one
year, beginning on June 1, 1993, and ending on May 31, 1994. This
agreement automatically will be extended for a two (2) year term
from June 1, 1994 to May 31, 1996, unless either party gives the
other party sixty (60) days written notice prior to the initial
ending of the first term, i.e. May 31, 1994. After the first two-
year contract extension ending on May 31, 1996, this agreement
automatically will be extended for a three (3) year term unless
either party gives the other party sixty (60) days written notice
prior to May 31, 1996. The parties reserve the right to mutually

agree upon the termination of the term of this agreement by a
separate agreement.
2. That GALLATIN agrees with CANTON as follows: GALLATIN
will maintain a minimum 30,000-gallon leachate storage/equalization
tank and a 500,000-gallon overflow/equalization basin of storage
capacity for the landfill leachate at its Fairview landfill site.
3. That GALLATIN will deliver leachate to CANTON'S West Side
Wastewater Treatment Plant upon a schedule to be agreed upon by
both parties after initial leachate treatment by CANTON has begun.
CANTON, working with the GALLATIN engineers, will develop a
mutually-acceptable pretreatment standard for the GALLATIN landfill
leachate.
4. Before limitations are developed as provided in paragraph
9, the following limitations shall apply: The daily BODS and TSS
loadings will not exceed a BODS of 104 pounds/day and a TSS of 55
pounds/day which is equivalent to 5000 gallons at a concentration
of 2500 mg/1 BOD5 and 1300 mqL TSS. Values of leachate shall be
within the range of 6 to 9 for pH and less than 200 ppm for
ammonia. CANTON may refuse to accept and treat any leachate
exceeding these parameters.
5. That the landfill leachate, as delivered by GALLATIN to
CANTON, shall be in a non-odorous aerobic condition (i.e. dissolved
oxygen z 0.5 ppm) and shall be kept in an aerobic condition by
GALLATIN until completely discharged into the system. CANTON may
refuse to accept any leachate that is not non-odorous or in an
aerobic condition.

6. That GALLATIN, for each load of leachate transported from
its 30,000-gallon leachate storage/equalization tank and its
500,000-gallon overflow/equalization basin to CANTON'S West Side
Wastewater Treatment Plant, will provide a representative
laboratory analysis for the following parameters: pH, COD (for
purposes of correlation w/CBOD only), TSS, and ammonia. Further,
on a quarterly basis, GALLATIN shall provide laboratory analysis of
its landfill leachate for chemical and metal contents. Chemical
and metal contents of the leachate shall not exceed that presently
being received by ordinary domestic waste, based on quarterly
samples of CANTON'S sludge, unless regulated by an applicable pre-
treatment/sewer use ordinance.
7. That GALLATIN will be responsible for the transporting of
the landfill leachate to CANTON'S West Side Wastewater Treatment
Plant and discharge at the designated spill containment pad. In
the event of a spill, GALLATIN will be responsible for the clean up
to the satisfaction of CANTON to also include responsibility for
the cost of clean up by CANTON or a third party if clean up is not
accomplished by GALLATIN in a reasonable period of time.
8. That during high-flow conditions which is defined as above
6.0 mgd or operational problems at the CANTON West Side wastewater
Treatment Plant, including violation of applicable effluent
standards or the NPDES permit, GALLATIN will store its landfill
leachate at the landfill until the flow condition drops below 6.0
mgd or until operational problems are corrected. During these
periods when CANTON has notified GALLATIN that it cannot accept

GALLATIN landfill leachate, GALLATIN reserves the right to take its
landfill leachate to any other treatment facility.
9. That in order for both parties to receive the maximum
efficiency of CANTON'S West Side Wastewater Treatment Plant, CANTON
shall instruct its wastewater treatment plant operator to review
the past performance of CANTON'S West Side Wastewater Treatment
Plant while accepting landfill leachate from GALLATIN to determine
the maximum capacity of CANTON'S West Side Wastewater Treatment
Plant to accept the GALLATIN landfill leachate. The plant operator
of CANTON'S West Side Wastewater Treatment Plant shall determine
the maximum capacity of CANTON'S West Side Wastewater Treatment
Plant to accept the GALLATIN landfill leachate on both a volume and
leachate-strength relationship. By mutual agreement of the parties
the volume of leachate and the leachate strength as set forth as a
maximum in paragraph 4 can be amended to a different volume and
leachate strength relationship based upon the treatment plant's
performance in treating the GALLATIN landfill leachate. Any
amendments to the leachate volume and strength limitations shall
also be approved by the IEPA and amended in any permits.
10. As it is contemplated that some of the available excess
treatment capacity of CANTON'S West Side Wastewater Treatment Plant
will be made available for GALLATIN, CANTON agrees that before
letting any of the excess treatment capacity of CANTON'S West Side
Wastewater Treatment Plant to a third party or any combination of
third parties, that CANTON will provide GALLATIN with as much
notice as possible of CANTON'S intent to reduce the treatment

capacity of CANTON'S West Side Wastewater Treatment Plant available
to GALLATIN.
11. Both parties recognize that prior to CANTON treating the
landfill leachate, applicable permits will have to be obtained from
the IEPA. GALLATIN will reimburse CANTON for any and all
additional testing or analytical work prescribed by the IEPA permit
application or by the IEPA permit that directly relates to
treatment of the GALLATIN landfill leachate. These expenses will
include expenses incurred by CANTON for additional tests performed
by CANTON'S West Side Wastewater Treatment Plant operator. CANTON
will bill GALLATIN monthly for the testing and GALLATIN shall pay
for such testing within 30 days of CANTON billing for same.
However, if CANTON, for its own purposes, desires to conduct
additional testing beyond the tests required for the IEPA permit,
then those expenses will be borne by CANTON unless prior written
agreement is made with GALLATIN. If CANTON'S additional testing
discloses that GALLATIN has exceeded any of the limits for
constituents allowed by this agreement or by the IEPA permit, or if
GALLATIN'S leachate is the sole cause of a problem with CANTON'S
West Side Wastewater Treatment Plant, then GALLATIN shall be
responsible for CANTON'S additional testing costs.
12. In applying for the IEPA permit, CANTON will make
available to GALLATIN the assistance of CANTON'S engineer and its
wastewater treatment plant operator. Any direct expense borne by
CANTON for CANTON'S engineering firm or wastewater treatment plant
operator and directly related to the GALLATIN permitting process at

IEPA, will be reimbursed by GALLATIN. CANTON agrees to jointly
request an IEPA permit with GALLATIN for treatment of GALLATIN
landfill leachate by CANTON. If further permits are needed from
IEPA, or any other regulatory agency, CANTON agrees to join with
GALLATIN in requesting the additional permits for treatment of
GALLATIN landfill leachate by CANTON. CANTON agrees to continue to
apply jointly with GALLATIN for permit renewals pursuant to current
IEPA rules and regulations. Further, CANTON agrees that if any
additional permits are required because of future rule changes,
that CANTON will continue to join with GALLATIN in seeking any such
additional permits for the treating of landfill leachate by CANTON.
13. To the fullest extent permitted by law, GALLATIN shall
indemnify and hold harmless CANTON, CANTON'S consultants, agents,
and employees from and against all claims, damages, losses and
expenses, including but not limited to attorneys' fees arising out
of or resulting from leachate delivered by Gallatin which has
chemical or other hazardous properties which cannot be detected in
the normal testing or sampling conducted in the Canton Waste Water
Treatment Plant and whose chemical or other hazardous properties

cannot be treated or neutralized in the normal course of CANTON'S
treatment, provided that such claim, damage, loss or expense is
solely and only attributable to the leachate received from GALLATIN
and without any fault on the part of CANTON in treating the
leachate. This paragraph shall specifically cover all claims,
damages, losses and expenses arising from such leachate received
from GALLATIN.

14. Any permanent improvements made to CANTON'S West Side
Wastewater Treatment Plant, even though those permanent
improvements were provided at the expense of GALLATIN, will remain
the property of CANTON. Any temporary or portable improvements
made to CANTON'S West Side Wastewater Treatment Plant by GALLATIN,
will remain the property of GALLATIN, and GALLATIN will have the
right to remove any temporary or portable improvements, but shall
be responsible for property damage caused by the removal of these
improvements.
15. GALLATIN agrees to use CANTON as one of its primary
facilities for the treatment of landfill leachate from the Fairview
landfill unless the West Side Wastewater Treatment Plant is unable
to service the GALLATIN landfill leachate. CANTON has been advised
that GALLATIN may also enter into a like agreement with the City of
Cuba, Fulton County, Illinois, for treatment of GALLATIN landfill
leachate at the Cuba Wastewater Treatment Plant. CANTON agrees to
allow GALLATIN to contract freely with other treatment plants in
order to provide dependable landfill leachate treatment
arrangements to cover conditions of non-treatment availability of
the CANTON West Side Wastewater Treatment Plant due to CANTON'S
operational limitations. Further, GALLATIN has the absolute right
to terminate this contract at such time as GALLATIN has built and
is ready to operate its own wastewater treatment plant to accept
the GALLATIN landfill leachate.
16. Both GALLATIN and CANTON shall comply with all IEPA
permit standards and other rules and regulations regarding the

treatment of leachate and discharge of effluent from CANTON'S West
Side Wastewater Treatment Plant. Both parties recognize that this
agreement is contingent upon the IEPA granting proper permits to
both CANTON and to GALLATIN. Either party to this agreement, upon
receipt of the IEPA permit standards to allow CANTON to treat the
GALLATIN landfill leachate, or upon being advised of what the
permit conditions and standards would be prior to a permit being
issued by IEPA, may terminate this agreement by giving written
notice to the other party.
17. GALLATIN shall make payments to CANTON based upon the
volume of landfill leachate treated by CANTON in accordance with
CANTON'S ordinance entitled "Ordinance No. 1267, an Ordinance
Amending Title 8, Chapter 10 of the Canton Municipal Code,
hereinafter referred to as Section 8-10-5, entitled, "Water and
Sewer Rates." At the present time, the amount of landfill leachate
to be treated is an unknown factor. GALLATIN shall pay the amount
of $10,000.00 per year for the term of this agreement, payable in
quarterly installments, beginning on June 1, 1993, or at the date
of signing this agreement, whichever comes first, and quarterly
thereafter, to CANTON for the right to use the West Side Wastewater
Treatment Plant. CANTON, as described above, shall bill GALLATIN
based upon "Ordinance No. 1267", as amended, or other current rates
in effect from time to time. GALLATIN shall receive a credit on
treatment bills from CANTON up to the amount of $10,000.00 which
GALLATIN guarantees that CANTON shall receive each year that
GALLATIN uses CANTON'S West Side Wastewater Treatment Plant. Said

credit shall not be applied to testing expenses which are paid
monthly pursuant to paragraph No. 11. In any year when GALLATIN'S
use of CANTON'S West Side Wastewater Treatment Plant exceeds the
$10,000.00, then and in that event, GALLATIN shall be responsible
for payment to CANTON for the additional use above $10,000.00 and
shall be billed by CANTON on CANTON'S regular billing dates as set
forth for all users of its West Side Wastewater Treatment Plant.
18. Any disputes under this agreement shall be arbitrated by
the parties as follows:
Each party shall pick a consulting engineering f irm having
technical expertise in wastewater treatment plants as its
arbitrator. The two firms so picked shall jointly agree upon
a third engineering firm as the final arbitrator. The three
arbitrators will then meet and the majority decision of two of
the three arbitrators shall be binding upon each of the
parties. However, if the arbitrators, as picked by the
parties, are not able to pick a third arbitrator, or if the
three arbitrators so picked are not able to come to a
decision, then either party is free to enforce its rights in
any legal or equitable manner. Each party shall pay for the
arbitrating firm that it selects and the parties shall each
pay one-half of the costs of the third arbitrator selected
pursuant to this paragraph.
19. GALLATIN agrees to reimburse CANTON for all of Anderson
Engineering's consulting fees and up to $800 of CANTON'S legal
expenses incurred by CANTON in connection with the preparation,

revision and adoption of this agreement.
20. This agreement may be terminated, by either party giving
proper notice, in the following cases:
a. GALLATIN remains out of compliance with this agreement
for more than ninety (90) consecutive days; or
b. CANTON'S West Side Wastewater Treatment Plant has
operational problems for more than ninety (90) consecutive
days; if CANTON terminates this agreement pursuant to this
paragraph, 20(b), then CANTON shall rebate to GALLATIN the
unused pre-paid monies paid by GALLATIN for treatment of its
leachate.
21. The above agreement is dated the _].g~ day of Mav ,
1993, and has been approved by CANTON at a properly-called meeting
and further, has been approved by GALLATIN in accordance with its
corporate rules and bylaws.

RE: Sewer Connection Permit Application at the Canton,
Illinois, POTW
Dear Mr. Kluge:
Enclosed is a sewer connection permit application for the Canton, Illinois POTW.
Gallatin National Co. proposes to discharge leachate from the Gallatin landfill to this
POTW. Both the Canton, Illinois, and Cuba, Illinois, POTW plants are proposed to be
utilized on an alternating priority basis. The permit application for each facility is
submitted under separate cover.
The permit application includes the following supplemental schedules:
WPC-PS-1 -Application For Permit or Construction Approval
Schedule A -Private Sewer Connection
Schedule J -Industrial Treatment And Pre-treatment
Schedule N -Waste Characteristics
Leachate will be delivered to each POTW facility at a designated dump pad approved by
the waste water treatment works owner and its engineering consultant. Leachate will be
delivered by tanker truck on a daily basis as allowed by both strength and volume
limitations.
Strength and volume limitations that may be imposed at each facility are briefly
described in an attached report prepared by Emil Cook at Crawford Murphy & Tilly.
Since Gallatin National is a new facility, there is no leachate available for pre-application
testing purposes. Instead, leachate quality data from similar landfill facilities in
Keewaunee County and Door County, Wisconsin, is enclosed. The average and
maximum leachate strength was considered for the leachate treatment analysis. A copy of
the leachate quality data is attached for thirteen years of quarterly operating reports from
the two Wisconsin facilities.

Both the Canton and Cuba treatment facilities have stipulated limitations for .leachate
treatment. Gallatin National has also provided leachate storage capacity onsite for
periods where leachate delivery may be temporarily suspended from either or both
facilities.
A copy of the design plans for leachate storage/equalization tank and the leachate
overfill/equalization basin are enclosed for your review. These plans have been
approved by the IEPA Division of Land Pollution Control. A permit for special waste
disposal at the subject facility will be submitted under separate cover to the Division of
Land Pollution Control.
No sanitary waste from onsite operations will be blended with leachate. Onsite sanitary
waste will be managed separately in a septic system disposal field.
If you have any questions concerning the proposed private sewer connection described in
the enclosed application form, please feel free to contact us. If possible, we would like
to start construction for the discharge pads on or before October 1, 1992, so that
construction can be completed before freezing weather.

Item 2. Narrative Description and Schematic Waste Flow Diagram:
Leachate from the Gallatin National Landfill will temporarily be stored at the
landfill either in a 30,000-gallon Leachate storage/equalization tank, or a
500,000-gallon overflow/equalization basin. This Leachate will periodically be
transported to the City of Canton Publically-Owned Treatment Works (POTW)
in tanker trucks by licensed special waste haulers. This Leachate will be
discharged to the headwaters of the treatment plant via agravity-fed pipe.
Details of the unloading pad and a schematic waste flow diagram are illustrated
on the attached drawing. There will be no expansion of the existing treatment
facilities at the Canton POTW. Furthermore, no storage of Leachate is proposed
at the facility.

This letter is in response to your request for an evaluation of loadings on the
Canton Westside Sewage Treatment Plant and to determine available capacity to
receive balefill leachate from the Gallatin National Regional Pollution Control
Facility in Fairview, Illinois.
We have completed an evaluation of the biochemical oxygen demand (BODS) and total
suspended solids (TSS) loadings on the Westside Treatment Plant considering the
existing loadings, projected prison loadings, anticipated short term growth and
the proposed loadings from the Gallatin National Facility (GN). Based on our
evaluation we believe the Canton Westside Treatment Plant has the capacity to
treat the GN balefill leachate provided the leachate contaminants are maintained
within the limits outlined below.
The Westside Treatment Plant was designed to handle a total BODS of 3840 lbs./day
and a TSS of 4186 lbs./day. The current average loadings to the plant are less
than the design quantities. The average BODS loading for the last 1'] months has
averaged 1,436 lbs./lbs./day. The TSS loading for the same period has averaged
2,148 lbs./day. Future loads from the new prison and some short term growth in
the community were added to the current average loads to establish remaining
capacity. These calculations are as follows:

Based upon the above calculations and assumptions the Canton Westside Sewage
Treatment Facilities can adequately handle the BODS and TSS loadings from GN.
It should be noted that the BODS and TSS concentrations used in the calculations
for leachate are based upon maximum measured values by the Sturgeon Bay Wisconsin
wastewater treatment facility which treats Balefill leachate from the Door County
Landfill.
For quality control of the leachate to be disposed of at the Canton Westside
Treatment Plant we recommend the following items be performed.
1. The leachate must be aerated and kept aerobic prior to being loaded
in a tanker truck.
2. The tanker must discharge an aerobic leachate.
3. Each load of leachate must have a laboratory analysis of pH, BODS,
TSS and Chemical Oxygen Demand (COD).

4. A BODS to COD waste strength relationship must be established to
serve as a quick check on whether the leachate being brought to the
treatment plant is within the limits presented below in Item 6.
5. Leachate would be brought to an existing dump station at the Westside
Treatment Plant. The leachate delivery must be coordinated for a
time agreeable to both parties.
6. The daily BODS and TSS quantities to be discharged must not exceed
104 lbs./day for BODS and 55 lbs./day for TSS.
7• The City's effluent currently meets all of the General Use Water
Quality Standards as defined in the IEPA Rules and Regulations, Title
35, Chapter 1, Subpart B. We recommend a quarterly analysis of the
leachate for the constituents defined in this section to insure
excess quantities of chemicals are not causing a violation of water
quality, or an upset of the treatment process. If excess chemical
quantities from the leachate cause water quality violations then
pretreatment by GN will be required or cancellation of an agreement
with the City will be necessary.
8. During high flow conditions, above 3.0 MGD, the leachate must be
stored at the landfill until the flow drops below 3.0 MGD.
We recommend an initial contract time of three (3) years for the City to receive
the balefill leachate and after that time period review the treatment plant's
performance and the leachate's BODS, TSS and chemical constituents concentrations
to establish whether continued future treatment is possible by Canton.
In regard to charges and costs for treating extra strength wastes by the City
of Canton, we do not know what the specific charges are. The City's current
Ordinance #923 8-10-5 has the provisions for charging for extra strength wastes
above 200 mg/1 BODY and 240 mg/1 TSS and 200p of the inside City rate for outside
of City customers. These rates will have to be negotiated with the City.
In your letter you mentioned that GN or STS Consultants are interested in the
disposal of the City's wastewater treatment plant sludge and the water treatment
plant sludge. We encourage the pursuit by both parties to take advantage of the
opportunity to dispose of the City's sludges.

l recently received the attached information from the Kewaunee County and Door County
landfills in Wisconsin. Both of these are operated as balefills an9 represent balefill
quality leachate. From the Door County information, we have determined the average BOD
to be 457 ppm and the average TSS to be 350. The maximum BOD co»centration and TSS
concentration over the period of record was 2,480 ppm and 2,770 ppm, respectively.
