A RESOLUTION APPROVING A LETTER OF UNDERSTANDING WITH SBSI SEMONIS AND THE
CITY OF CANTON AND DIRECTING THE MAYOR TO EXECUTE AND DELIVER SAID LETTER ON
BEHALF OF THE CITY OF CANTON,ILLINOIS.
WHEREAS, the Finance Committee of the City of Canton has determined that it is necessary and in the
best interests of the City of Canton to enter into a Letter of Understanding with SBSI Semonis as set forth in
Exhibit "A" attached hereto and incorporated herein for consulting services in connection with insurance benefits
for the City of Canton; and
WHEREAS,the City Council of the City of Canton has made a similar determination.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY
OF CANTON,ILLINOIS,AS FOLLOWS:
1. That the Letter of Understanding attached hereto and incorporated herein as Exhibit "A" is hereby
approved by the Canton City Council.
2. That the Mayor of the City of Canton, Illinois, or his designee, is hereby authorized and directed to execute
said Letter of Understanding on behalf of the City of Canton.
3. That this Resolution shall be in full force and effect immediately upon its passage by the City Council of
the City of Canton, Illinois and approval by the Mayor thereof.
PASSED by the City Council of the City of Canton, Illinois at a regular meeting this 5th day of
January, 2016 upon a roll call vote as follows:

Dear Diana,
Pursuant to our recent discussions, please consider this our Letter of Understanding for services to be
provided to the City of Canton by Semonis Insurance Group, Inc. dba SBSi Semonis. Our services will
include the following;
➢ Review of Current Benefit Structure
✓ Collection and Review of Paid Claim Data, if available
✓ Attend various meetings to discuss impact of ACA, Funding and Plan options
✓ Review of ACA Employer Mandates for 2016
➢ Analyze current plan of benefits for recommendation of changes relative to cost containment,
industry norms,wellness initiatives and areas of importance to the City of Canton
✓ Manage/Negotiate the Renewal
✓ Compile comparison of prior years in spreadsheet format for review;
✓ Review alternate Plan designs and Funding options with the Insurance Committee
✓ Present findings complete with recommendations for purchase;
➢ Organize and conduct employee implementation meetings if necessary.
The effective date of this arrangement will be January 1, 2016. SBSi Semonis is willing to contract for a
total project fee of$4,620 payable in quarterly installments of$1,155. The fee includes the renewal
project fee of$3,500 and$280 for each quarter for up to 2 hours of additional time spent on emails,
calls,or meetings. Any hours beyond 2 per quarter will be billed separately at$150 per hour.
Our consulting fee for this project includes not only my time, but the time and experience of our entire
staff. Amy Whiting-McCoy will be the dedicated Account Executive that will coordinate all aspects of
this project.

Understanding with your signature below.

Rick,
It was the determination of the Canton City Council to terminate our services for consulting
services with you effective 09-06-2016. It was the recommendation of the insurance
committee to utilize The Wyman Group for future consulting services and was approved by the
Council at the meeting in September 2016.
We appreciate the opportunity to work with you over the years.
