A RESOLUTION APPROVING THE FIRST AMENDMENT TO
INTERGOVERNMENTAL AGREEMENT BETWEEN THE CITY OF CANTON AND
COUNTY OF FULTON, ILLINOIS AND DIRECTING THE MAYOR, OR HIS
DESIGNEE, AND CITY CLERK TO EXECUTE AND DELIVER SAID AGREEMENT
ON BEHALF OF THE CITY OF CANTON, ILLINOIS
WHEREAS,the City of Canton and the County of Fulton have heretofore previously determined
to cooperate in supporting the application for the new Canton-Fulton County Enterprise Zone by the State
of Illinois; and
WHEREAS, during the application review by the Illinois Department of Commerce and
Economic Opportunity it was determined that since the Village of Banner ("Village") had parcels
included in the proposed enterprise zone and the Village was a municipality as defined by the Illinois
Municipal Corporation Act, the Village of Banner needed to be a party to the Intergovernmental
Agreement;
WHEREAS, in furtherance of supporting and maintaining the economic benefits of the new
Canton-Fulton County Enterprise Zone to the City, Village, and to the County, it is necessary to maintain
an Intergovernmental Agreement to include all territory designated as the Canton-Fulton County
Enterprise Zone; and
WHEREAS, the Legal and Ordinance Committee of the City of Canton has determined
that it is necessary and in the best interest to enter into an amended intergovernmental agreement
with County of Fulton and the Village of Banner as set forth in Exhibit "A" attached hereto and
incorporated herein; and
WHEREAS, the City Council of the City of Canton has made a similar determination.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
CANTON, Fulton County, Illinois as follows:
1. That the First Amendment to Intergovernmental Agreement attached hereto Exhibit A hereto
and herein incorporated by reference, is hereby approved by the Canton City Council.
2. That the Mayor, or his designee, and the City Clerk are hereby authorized and directed to
execute the same(at least in triplicate if needed)on behalf of the City of Canton.
3. That this Resolution shall be in full force and effect immediately upon its passage by
the City Council of the City of Canton, Illinois and approval by the Mayor thereof.

FIRST AMENMENT TO INTERGOVERNMENTAL AGREEMENT BETWEEN
THE CITY OF CANTON AND THE COUNTY OF FULTON
ESTABLISHING THE CANTON-FULTON COUNTY ENTERPRISE ZONE
This Amendment, made and entered into this s.� day of OyJQ�' , 2015, is by
and between the City of Canton ("City"), the Village of Banner ("Village"), and the County of
Fulton ("County") pursuant to the authority of Article VII, Section 10 of the Constitution of the
State of Illinois,the Intergovernmental Cooperation Act, 5 ILCS 220/1 et seq., Sections 10-20.14
(105 ILCS 5/10-20.14)and as amended from time to time.
WITNESSETH:
WHEREAS, on November 4, 2014, the City and County entered into an
Intergovernmental Agreement Establishing the Canton-Fulton Enterprise Zone ("Original
Agreement") as set forth and attached as Exhibit A;
WHEREAS, upon the drafting and finalizing of the geographical boundaries of the
proposed zone, property located within the village boundaries of the Village were added to said
proposed zone;
WHEREAS, the Village of Banner is a municipality under the Illinois Municipal
Corporation Act and is therefore required to be a party the intergovernmental agreement
establishing and governing the enterprise zone;
WHEREAS,the City,Village, and County have mutually determined that it is in the best interest
of the citizens of the City of Canton and the Village of Banner,and the citizens of Fulton County to apply
with the Illinois Department of Commerce and Economic Opportunity to create an enterprise zone located
in the City,the Village and the County's jurisdictional boundaries;
WHEREAS, it is in the best interest of the City,the Village, and the County to cooperate in the
maintenance and support of the economic development aspects of the Canton-Fulton County Enterprise
Zone("Enterprise Zone") and cooperatively provide specific incentives as designated in Exhibit B hereto
and incorporated herein by reference;
WHEREAS, this agreement is authorized by the Illinois Constitution of 1970 and the
Intergovernmental Cooperation Act, 5 ILCS 220/1 et. seq., providing for the execution of agreements and
implementation of cooperative ventures between public agencies of the State of Illinois;and
WHEREAS, the City, the Village, and the County have reached an agreement concerning the
support and maintenance of the Canton-Fulton County Enterprise Zone and the incentives of that zone
and wish to memorialize the terms of such agreement herein;and
NOW, THEREFORE, in consideration of the foregoing, and the promises and covenants set
forth hereinafter,it is agreed as follows:
1. The City, Village and County adopt all of the terms of the Original Intergovernmental
Agreement Establishing the Canton-Fulton County Enterprise Zone and incorporate those
terms into this said Amendment.

2. The Village hereby acknowledges that the City is the Lead Agency and the Mayor of the City
is the Zone Administrator with all of the duties and responsibilities as they are set forth in the
Original Agreement.
3. The Village hereby acknowledges that the terms and duties of the Zone Administration are
set forth in the Original Agreement and that the Village will be entitled to a representative on
the Zone Advisory Committee as set forth in Section 6 of the Original Agreement just as all
other taxing bodies are allowed a representative. The Village may appoint a representative
for the Zone Advisory Committee pursuant to Section 6 of the Original Agreement.
4. The Village hereby acknowledges that it has the same voting rights as the other taxing bodies
as set forth in Section 6 of the Original Agreement.
In Witness, the parties have executed this Agreement by authorized officials this 7j

The Enterprise Zone Board has approved your 2014 application for designation as a new Enterprise Zone.
The Department of Commerce and Economic Opportunity (the "Department") has issued an Enterprise
Zone Certificate for the Canton/Fulton County Enterprise Zone. The Department looks forward to
working with The City of Canton to implement goals and objectives to achieve job creation and
investment in your area.

CERTIFICATION
Pursuant to Section 5.3 of the Illinois Enterprise Zone Act, 20 IL.CS 655/1, et seq., the
Department of Commerce and Economic Opportunity hereby certifies that portions of the City of Canton
and County of Fulton are awarded an Enterprise Zone, to be known as the Canton/Fulton County
Enterprise Zone,with all rights, duties, and responsibilities as specified in the Illinois Enterprise Zone Act
and the attached Ordinances, Resolutions, and Intergovernmental Agreement. Beginning January 1, 2016,
the Enterprise Zone will be in effect for an initial fifteen (15) calendar years expiring upon December 31,
2030, or for a lesser number of years if so specified in the attached Ordinances, Resolutions, and
Intergovernmental Agreement.
