Main St.) at Sycamore Ter. in Canton Job No. C-94-326-97 Contract No. 88845 Catalog No. 031727-OOD Agreement No. JN-499-004 AGREEMENT This Agreement, entered into this 15~ day of December , A.D., 19g~, by and between the STATE OF ILLINOIS, acting by and through its DEPARTMENT OF TRANSPORTATION hereinafter called the STATE, and the CITY of CANTON, of the State of Illinois, hereinafter called the CITY. WITNESSETH: WHEREAS, the STATE, in order to facilitate the free flow of traffic and ensure safety to the motoring public, is desirous of improving approximately 1,000 lineal feet of Illinois Route 78 (North Main Street) from Sycamore Terrace to Vine Street (FAP Route 22, State Section 135TS) as shown in "Attachment 1" attached hereto and made a part hereof, by widening the turning radii at the intersection of North Main Street and Sycamore Terrace, by installing traffic signals at the intersection of North Main Street and Sycamore Terrace, and by performing all other work necessary to complete the improvements in accordance with the approved plans and specifications; and WHEREAS, the CITY is desirous of said improvements in that same will be of immediate benefit to the traveling public and permanent in nature; Page 2 NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: 1. The STATE agrees to make the surveys, obtain all necessary rights of way, prepare plans and specifications, receive bids and award the contract, furnish engineering inspection during construction, and cause the improvement to be built in accordance with the plans, specifications and contract. 2. The STATE agrees to pay all construction and engineering costs subject to reimbursement by the CITY as hereinafter stipulated. 3. Upon final field inspection of the improvement and so long as North Main Street is used as a State Highway, the STATE agrees to maintain or cause to be maintained the center bi-directional turn lane, left turn lanes and median, the through traffic lanes, the right turns lanes, and the curb and gutter adjacent to the traffic lanes and turn lanes to be maintained by the STATE. 4. Cost shall be determined by multiplying the final quantities times contract unit prices plus 15°r6 for construction and preliminary engineering. 5. The CITY has passed a resolution appropriating sufficient funds to pay its share of the cost of this improvement, a copy of which is attached hereto as "Exhibit A" and made a part of hereof. 6. The CITY agrees to provide prior to the STATE's advertising for the work to be performed hereunder approval of the plans specifications, by resolution or letter. 7. The CITY shall exercise its franchise right to cause private utilities to be relocated at no expense to the STATE. 8. The CITY agrees to cause its utilities located on right of way acquired by the STATE or installed within the limits of a roadway after the said roadway was taken over for maintenance by the STATE, to be relocated and/or adjusted at no expense to the STATE. 9. Upon final inspection of the improvement, the CITY agrees to maintain or cause to be maintained those portions of the improvement which are not maintained by the STATE. 10. Upon acceptance by the STATE of the new traffic signal installation(s), the financial responsibility for maintenance and electrical energy for the operation of the signals shall be proportioned as follows: Page 4 .Intersection North Main St. ~ Sycamore Terrace STATE Share CITY Share (50)% (50)% (0)% (100)% It is mutually agreed that the actual signal maintenance will be performed by the STATE, either with its own forces or through an ongoing contractual agreement. It is further agreed that the signals shall be maintained to at least the Levels of Maintenance shown above and specified in the attached "Exhibit B" made a part hereof. Upon acceptance by the STATE of the new traffic signal installation(s) included herein, the responsibility for the maintenance and energy outlined above shall become a part of the Master Agreement executed by the STATE and the CITY on March 18, 1981. 11. The parties hereby mutually agree that the obligations of the parties will cease immediately without penalty being required if, in any fiscal year, the Illinois General Assembly or Federal funding source fails to appropriate or otherwise make available funds for this contract. 12. This Agreement and the covenants contained herein shall be null and void in the event the contract covering the construction work contemplated herein is not awarded within three years subsequent to execution of the Agreement. Page 5 This Agreement shall be binding upon and to the benefit of the parties hereto, their successors and assigns. MFT RESOLUTION WHEREAS, the City of Canton has entered into an Agreement with the State of Illinois for the improvement of Illinois Route 78 (FAP Route 22), known as State Section 135TS, City Section 98-00087-00-TL and WHEREAS, in compliance with the aforementioned Agreement, it is necessary for the City to appropriate Motor Fuel Tax Funds to pay its share of the cost of said improvement. NOW, THEREFORE, BE IT RESOLVED, that there is hereby appropriated the sum of Forty-Nine Thousand Five Hundred Dollars ($49,500), or so much thereof as may be necessary, from any money now or hereafter allotted to the City under the provisions of the Motor Fuel Tax Law, to pay its share of the cost of this improvement as provided in the Agreement; and BE IT FURTHER RESOLVED, that upon award of the contract for this improvement, the City of Canton will pay to the Department of Transportation of the State of Illinois, in a lump sum from any funds allotted to the City, under the Motor Fuel Tax Law, an amount equal to 95°r6 of its obligation incurred under this Agreement, and will pay to the said Department the remainder of its obligation (including any non-participating costs for FA projects) in a lump sum, upon completion of the project based upon final costs. BE IT FURTHER RESOLVED that the City agrees to pass a supplemental resolution to provide necessary funds for its share of the cost of this improvement if the amount appropriated herein proves to be insufficient to cover said cost. Main St.) at Sycamore Ter. in Canton Job No. C-94-326-97 Contract No. 88845 Catalog No. 031727-OOD Agreement No. JN-499-004 EXHIBIT B TRAFFIC SIGNAL MAINTENANCE AND ENERGY PROVISIONS It is agreed that the signals shall be maintained to at least Level of Maintenance I specified herein. It is agreed that Level of Maintenance I meets the minimum requirements of the Illinois Manual on Uniform Traffic Control Devices for Streets and Highways and Level of Maintenance II exceeds the manual requirements and is prescribed for those signals that the District Engineer, with the concurrence of the Engineer of Operations, determines to require a higher level of service for adequate operations of the highway system at those locations. Payment by the STATE of any or all of its share of maintenance and energy costs is contingent upon the STATE receiving adequate funds in its annual appropriation. The parties hereto agree that the traffic signal. maintenance and energy provisions of this Agreement shall remain in effect for a period of twenty (20) years from the date of its execution or so long as the traffic signals covered by the terms of this Agreement or any amendment hereto remain in place either in their current or some modified configuration, whichever is the shorter period of time. Such an effective term shall apply unless otherwise agreed in writing by the parties hereto. The STATE agrees to make arrangements with the local power company to furnish the electrical energy for the operation of the traffic signals. The STATE retains the right to control the sequence and timing of the traffic signals. The STATE shall: 1. Patrol the traffic control signal system whenever possible and replace burned-out lamps or damaged sockets as may be required. The reflector and lens should be cleaned each time a lamp is replaced. 2. Keep signal posts, controller pedestals, and foundations in alignment at all times. 3. Keep signal posts and controller pedestals tight on foundation. 4. Keep signal heads and controller cabinets tight on their pedestals and properly adjusted. 5. Keep detector equipment in proper working order at all times. Page 2 EXHIBIT B JN-499-004 6. Check the controllers, relays, and detectors at least once every year to ascertain that they are functioning properly and make all necessary repairs and replacements. 7. Furnish and install temporary controller whenever necessary. 8. Keep interior of controller cabinets in a neat and workmanlike manner at all times. 9. Replace burned-out fuses. Determine and correct cause of bum-out as soon as possible. 10. Clean reflectors, lenses, and lamps once every year. 11. Repaint all signal components exposed to weather as needed, unless coated with vinyl epoxy coating. 12. Repair or replace any and all equipment damaged by any cause whatsoever. 13. Be responsible to make recovery for damage to any part of the installation or systems from the party causing the damage. 14. Place a stop sign on each approach to the intersection s a temporary means of regulating traffic whenever repairs at a signalized intersection require that the controller be disconnected. 15. Respond to emergency calls from authorized parties twenty-four hours a day including Saturdays, Sundays, and holidays. Controller failure, lights out, knockdowns, or two red lights out an intersection are considered emergencies.
