A RESOLUTION APPROVING AN
ILLINOIS COMMUNITY SOLAR SUBSCRIPTION AGREEMENT
WHEREAS, the City Council of the City of Canton has determined that it is necessary
and in the best interest to enter into a Community Solar Subscription Agreement for the purpose
of receiving credits on its utility bills generated by Ameren Illinois.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL
OF THE CITY OF CANTON,ILLINOIS,AS FOLLOWS:
1. That the Mayor is hereby authorized to execute a Community Solar Subscription
Agreement (or similar agreement) (collectively hereinafter "Agreement") with Solar on
Earth, Inc., SunCentral LLC, and/or their affiliated entities, for the purpose of obtaining
bill credits on its Ameren utility bill(s), which are provided in exchange for Ameren
receiving solar electricity from qualifying facilities.
2. The Agreement shall be subject to further review by the City Attorney and final approval
by the Mayor, and the Agreement shall,at a minimum,provide the following terms and/or
conditions: (1) no more than a ten (10) year term; (2) the ability to obtain bill credits to
reduce the overall electricity expenses of the City of Canton; (3) a voluntary cancellation
term by the City of no more than one hundred eighty(180)days; and(4)no up front costs
due and owing to Solar on Earth, Inc., SunCentral LLC, and/or their affiliated entities.
3. The Mayor reserves the right to refuse to sign any Agreement he finds unacceptable and
not in the City's best interests.
4. That this Resolution shall be in full force and effect immediately upon its passage by the
City Council of the City of Canton, Illinois and approval by the Mayor thereof.

day of July, 2025 upon a roll call vote as follows:
