HomeMy WebLinkAboutResolution #5544 - Intergovernmental Agreement to Consolidate Public Safety Answering Points and Public Safety Telecommunicator Staff RESOLUTION NO. 5544 A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT TO CONSOLIDATE PUBLIC SAFETY ANSWERING POINTS AND PUBLIC SAFETY TELECOMMUNICATOR STAFF WHEREAS,the City Council of the City of Canton has determined that it is necessary and in its best interest to enter into an Intergovernmental Agreement to Consolidate Public Safety Answering Points and Public Safety Telecommunicator Staff (hereinafter, the "Agreement") with the Fulton County Board of Fulton County, Illinois (the "County"), Jon Webb, not individually, but as Fulton County Sheriff (the "Sheriff'), and the Fulton County Emergency Telephone Service Board (the "ETSB"), substantially as set forth in"Exhibit I,"which is attached hereto and incorporated herein. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CANTON,ILLINOIS,AS FOLLOWS: 1. That the City hereby finds as fact the recitals set forth above and incorporates said recitals herein as though fully set forth. 2. That the Agreement, substantially as attached hereto and incorporated herein by reference as "Exhibit 1," is hereby approved by the Canton City Council. 3. That the Mayor is hereby authorized and directed to execute said Agreement on behalf of the City of Canton. The Mayor, or his designee(s) are further authorized to take any all further actions necessary to accomplish the purpose of the Agreement, including without limitation the layoff of any necessary employees.The Mayor is further authorized to negotiate and amend the terms and conditions of the Agreement prior to execution provided that the City's Member Agency Obligation (See Agreement, Ex. A) shall not be increased more than 47% without further approval of the City Council; 4. That this Resolution shall be in full force and effect immediately upon its passage by the City Council of the City of Canton,Illinois and approval by the Mayor thereof. Smith-Walters,City Clerk EXHIBIT 1 INTERGOVERNMENTAL AGREEMENT TO CONSOLIDATE PUBLIC SAFETY ANSWERING POINTS AND PUBLIC SAFETY TELECOMMUNICATOR STAFF THIS INTERGOVERNMENTAL AGREEMMENT TO CONSOLIDATE PUBLIC SAFETY ANSWERING POINTS AND PUBLIC SAFETY TELECOMMUNICATOR STAFF ("Agreement") is made and entered into on this 18th day of June, 2026 (the "Execution Date"),by and between the City of Canton,an Illinois municipal corporation("Canton"),the Fulton County Board of Fulton County, Illinois (the "County"), Jon Webb, not individually, but as Fulton County Sheriff(the "Sheriff"), and the Fulton County Emergency Telephone System Board (the "ETSB"), an Illinois governmental body created by the Fulton County Board by Ordinance on January 8, 1991 and authorized under the Illinois Emergency Telephone System Act(50 ILCS 750.01 et seq.) (the"ETSA"). WHEREAS, the Illinois Constitution authorizes local governmental units to enter into agreements with one another to obtain or share services and to exercise, combine, or transfer any power or function,in any manner not prohibited by law or by ordinance(Ill. Const.Art.VII, § 10); and WHEREAS,the Illinois Constitution provides that participating units of government may use their credits, revenues, and other resources to pay costs and to service debt related to intergovernmental activities(Ill. Const.Art. VI I, § 10); and WHEREAS, the Illinois Intergovernmental Cooperation Act (5 ILCS 220/1 et seq.) (the "Intergovernmental Cooperation Act") provides that any power or powers, privileges, functions, or authority exercised or which may be exercised by a unit of government(as defined in the Illinois Constitution of 1970)of the State of Illinois may be exercised,combined,transferred,and enjoyed jointly with any other unit of government of the State of Illinois and jointly with any public agency of any other state or of the United States to the extent that laws of such other state or of the United States do not prohibit joint exercise or enjoyment and except where specifically and expressly prohibited by law(5 ILCS 220/3); and WHEREAS, Canton is non-home rule municipality, and defined in the Illinois Constitution of 1970; and WHEREAS,the County has a population of less than 250,000 and a single Emergency Telephone System Board; and WHEREAS, Canton and the County may hereinafter be referred collectively as the "Member Agencies"or individually as a"Member Agency"; and WHEREAS,the ETSB authorizes the delivery of 9-1-1 calls to Public Safety Answering Points ("PSAPs"); and 1 WHEREAS, the State of Illinois, acting through the Illinois State Police, and the County/ETSB are parties to certain Grant Agreements(the"Grant Agreements")under the Illinois 9-1-1 System Consolidation Grant Program, effective July 1, 2024 (Agreement No. 25-C-489- 0057-102),which granted an award of up to$2,245,992.01,and effective July 1,2025 (Agreement No. 26-C-489-0057-104), which granted an award of up to $1,030,006.78 to the County/ETSB (collectively the"Awards"), both of which were applied for and accepted by the ETSB; and WHEREAS,the Awards are identified as follows: State Award Identification Numbers(SAINs): 25-C-489-0057-102 and 26-C-489-0057-104 Catalog of Financial Assistance(CFSA)Number: 493-60-1166 CFSA Name: FY25 9-1-1 System Consolidation Program and FY26 9-1-1 System Consolidation Program WHEREAS, the ETSB intends to use the Awards for purposes of constructing and procuring equipment for a new facility for a consolidated emergency communications center/9-1- 1 PSAP in Fulton County, in accordance with the Grant Agreements and other applicable laws and regulations; and WHEREAS, the Illinois Office of the Statewide 9-1-1 Administrator and the State of Illinois have granted an extension of time until June 30, 2026, to administer the Awards and additional extensions may be applied for by the County,through the ETSB, as necessary; and WHEREAS, there are currently two (2) PSAPs in Fulton County which have been authorized by the ETSB to provide 9-1-1 call handling and 9-1-1 dispatch services; and WHEREAS, the two (2) current PSAPs in Fulton County also provide other services incidental to emergency services dispatch operations to emergency services agencies which respond to the public's need for assistance; and WHEREAS, one (1) PSAP is owned and operated by Canton and provides 9-1-1 call handling, 9-1-1 dispatch services and other services incidental to the operation of the City of Canton including, but not limited to, administrative telephone answering services, general law enforcement dispatch and communications services, general law enforcement records management services, fire service dispatch services and closed-circuit television monitoring; and WHEREAS, one (1) PSAP is owned by the County and operated by the Sheriff and provides 9-1-1 call handling, 9-1-1 dispatch services and other services incidental to the operation of the Sheriff's Office including, but not limited to, administrative telephone answering services, general law enforcement dispatch and communications services, general law enforcement records management services, fire service dispatch services, emergency medical services dispatch services, jail monitoring and control services, and closed-circuit television monitoring; and 2 WHEREAS,the County and the Sheriff currently employ telecommunicators to operate the Fulton County PSAP and to provide services on behalf of the County and the Sheriff(the "County Telecommunicators"); and WHEREAS, as of the execution of this Agreement, the County Telecommunicators are currently subject to a certain Agreement between the Fulton County Sheriff and the Fulton County Board and the American Federation of State, County, and Municipal Employees,AFL- CIO,Council 31,AFSCME Local 3433 ("AFSCME"),effective December 1,2022 to November 30, 2026 (the "AFSCME CBA"); and WHEREAS,Canton currently employs telecommunicators to operate the Canton PSAP and to provide services on behalf of Canton(the "Canton Telecommunicators"); and WHEREAS, as of the execution of this Agreement, the Canton Telecommunicators are subject to a certain Collective Bargaining Agreement between Canton and the Illinois Fraternal Order of Police Labor Council, Unit #840, effective May 1, 2024 to April 30, 2028 (the "FOP CBA"); and WHEREAS,the Parties hereto have determined that it is in the best interest of each party to this Agreement and the public health,safety and welfare of persons and property within the City of Canton and within Fulton County to enter into an agreement to consolidate the number of PSAPs and to establish one (1) consolidated PSAP that shall serve all persons residing within Fulton County,including the City of Canton; and WHEREAS, the Parties agree that the one (1) consolidated PSAP shall be known as the "Fulton County Consolidated Emergency Communications Center"(the"Consolidated Center"); and WHEREAS,the Parties agree that the Consolidated Center would be best served by one organizational structure, the ETSB, governing the operations of the Consolidated Center; and WHEREAS, the Parties agree that it is in the public interest that this Agreement be executed for the purpose of defining the powers, obligations, and working structure of the Consolidated Center in order to fulfill the obligations of the ETSB to provide 9-1-1 call handling, 9-1-1 dispatch services and other related services. NOW, THEREFORE, in consideration of the foregoing recitals and to the extent permitted by law,the Parties agree as follows: 1. Consolidation and Purpose: A. The Parties agree to take all reasonable, appropriate, and necessary steps to create the "Fulton County Consolidated Emergency Communications Center" (hereinafter the "Consolidated Center"). B. The ETSB shall be responsible for the organization, management, and operation of the Consolidated Center, subject to the terms and conditions of this Agreement. 3 C. The purpose of the Consolidated Center is to operate and maintain a centralized, combined emergency services communications center to serve as the 9-1-1 PSAP for the County and Canton. The Consolidated Center shall provide 9-1-1 call handling services, emergency services dispatch and communications services, and other services that are incidental to the operations of the Member Agencies and the Participating Agencies, and to the benefit of the Member Agencies,Participating Agencies,emergency responders and community members and visitors of Fulton County. D. Upon the Consolidation Date(defined below),the ETSB agrees to accept all assets,duties, titles and obligations of the County,the Sheriff, and Canton in relation to the provision of 9-1-1 call handling,emergency services dispatch services and the other services incidental to the operations of the Sheriff's Office and the City of Canton at the Prior Facilities (defined below), with the exception of any collective bargaining agreements to which either the County, the Sheriff, or Canton are a party. E. The Parties recognize that the provision of 9-1-1 call handling services, emergency services dispatch services and other services incidental to the operations of the Sheriff's Office and the City of Canton is critical to the citizens of Fulton County and such services are shared between the public and emergency services organizations. F. This Agreement shall be in addition to any other official or required agreements the ESTB, either Member Agency,or any Participating Agency must execute in order to comply with the ETSA. G. The costs to provide the services described in this Agreement shall be assessed among the Member Agencies and other participating agencies("Participating Agencies")in a manner according to the Funding Formula and Assessment Policy set forth in Exhibit A, which is attached hereto. H. In the event a Member Agency or Participating Agency fails to pay fees required under the Funding Formula and Assessment Policy (as set forth in Exhibit A) within thirty (30) days after written notice by the ETSB to the Member Agency or the Participating Agency of their failure to timely pay, the ETSB may withhold any or all services to that agency, and/or take appropriate legal action to collect such fees. I. The "Consolidation Date" as used in this Agreement shall be August 3, 2026, unless agreed to in writing by the Parties hereto. Notwithstanding the foregoing, either Member Agency or the ETSB may, upon seven(7) days' written notice to the other parties hereto, extend the Consolidation Date until September 1, 2026. 2. General Duties of Parties Upon the Consolidation Date and Thereafter: A. Assessments: The County and Canton shall be responsible for the timely contribution of Member Agency Assessments, as set forth in Exhibit A, to the ETSB. B. Management: ETSB shall be responsible for all organization, management, operations, and maintenance of the Consolidated Center. 4 C. 9-1-1 Call Handling and Dispatch Services: The ETSB shall be responsible for installing, operating, and maintaining the existing PSAPs (and thereafter, the Consolidated Center) and providing 24-hour 9-1-1 call handling and emergency services dispatch services as well as other services incidental to the operation of the Sheriff's Office and the City of Canton, as described in this agreement or as agreed to, in writing, from time to time. Additionally, for Member Agencies, the Consolidated Center will be responsible for dispatch of public works and emergency management and for any other communication services necessary for the operation of the Consolidated Center. D. Meetings:The ETSB,or its designee or designees,shall meet with the County and Canton, jointly, no less than annually, at an agreed upon time to reasonably permit the County and Canton to adequately levy for and/or budget and/or appropriate any assessments or other costs associated with this Agreement.The parties shall reasonably endeavor to meet during or near August—September of each year for said purposes and at all other times necessary to reasonably accommodate the City and/or County for such purposes No less than quarterly,the ETSB shall report Consolidated Center statistics,updates,financial data,call volume, and other data as may be reasonably requested to the County and Canton. E. Tax Levies: To the extent certain expenses associated with personnel costs of the Consolidated Center Employees are available to be paid for with property taxes that do not require referendum approval or have no limit, then said expenses shall be paid from property taxes to levied by the County, including but not limited to expenses due for contributions to the Illinois Municipal Retirement Fund (see 40 ILCS 5/7-171), the cost of participation in both the Federal Medicare Program and the Federal Social Security Program (see 40 ILCS 5/21-110; 40 ILCS 5/21-110.1), or expenses relating to (i) tort liability, (ii) liability relating to actions brought under the federal Comprehensive Environmental Response, Compensation, and Liability Act of 1980 or the Environmental Protection Act, but only until December 31, 2010, (iii) insurance, and (iv) risk management programs (see 745 ILCS 10/9-107). Costs available to be paid for with property taxes that do not require referendum approval or have no limit shall be borne by and paid for by the County and will not be included in the Funding Formula and Assessment Policy in Exhibit A. 3. ETSB Powers: In furtherance of its responsibilities under this Agreement, to the extent permitted by law and in addition to any rights or powers granted to the ETSB by law, subject to the other provisions of this Agreement,the ETSB shall have the power: A. To acquire, construct, receive, own, manage, lease and sell real property, personal property and intangible property; B. To operate and maintain the Consolidated Center and the various systems, including but not limited to, 9-1-1 telephone answering systems, the Law Enforcement Agencies Data System (LEADS), computer aided dispatch systems, radio communications systems, mobile data systems,voice recording systems,jail control systems,closed circuit television systems, and related facilities and support systems; C. To enter into contracts with public and private entities; D. To provide such similar services to areas and agencies outside of the boundaries of Fulton County provided the provision of such services is recognized through agreement approved 5 by the Member Agencies, required by statute, or otherwise reasonably necessary by the nature of the event; E. To sue and be sued; F. To employ and terminate personnel, provide employee benefits and contract for personnel and services with public and private entities; G. To establish and collect fees and assessments from the Member Agencies and the Participating Agencies in accordance with the Funding Formula and Assessment Policy described in Exhibit A; H. To ensure redundant, competent and uniform operation of the Consolidated Center; I. To seek economies of scale; J. To establish policies, guidelines or regulations to carry out its powers and responsibilities, including but not limited to, establishing personnel policies; K. To exercise all other powers that are within the statutory authority of and may be exercised by the Member Agencies with respect to the Consolidated Center; and L. To the extent insurance coverages not able to be provided by the County, then to obtain appropriate insurance coverages for its operations, including liability and workers' compensation insurance, and to provide that each Member Agency is an additional insured. 4. Fiscal Year and Budget: The fiscal year of the Consolidated Center shall coincide with the fiscal year of the ETSB and the County, which as of the date of this agreement, is December 1 —November 30. The budget for the Consolidated Center shall be developed by the ETSB in consultation with the County and Canton and in accordance with this Agreement. Once the budget for the Consolidated Center is approved by the ETSB, the ETSB shall submit claims as authorized by the ETSB to the Fulton County Clerk, without further approval from the County or Canton, provided the expenditures are consistent with the intent and purpose of this Agreement. 5. Finances: It is anticipated that funding for the ETSB to operate the Consolidated Center be provided primarily from Member Agency Assessments, and Participating Agency Assessments levied in accordance by the Funding Formula and Assessment Policy as described in Exhibit A. Additional revenue for unanticipated expense or particular system improvement may be provided by 9-1-1 surcharges, grants,contracts,and by a Special Assessment,which may be assessed only if approved in accordance with Section 5(A). A. Special Assessment: A Special Assessment may be assessed for major repairs or replacement of equipment or components thereof, including but not limited to software, which are required for the operation of the Consolidated Center and for the fulfillment of the purposes of Consolidated Center, which are not identified in the current year's budget or provided for by an awarded grant or contract, and which such repairs or replacement exceed $25,000.00. Upon determination by the ETSB that a Special Assessment is required, both Member Agencies shall be notified of the need and amount of the particular assessment not less than 30 days prior to the ETSB voting on the 6 Special Assessment and it shall require approval by no less than a two-thirds vote of the ETSB and ratification by a majority vote of the corporate authorities of both Member Agencies, evidenced by a resolution adopted by each respective Member Agency,within 30 days after the approval by the ETSB. B. Special System Additions or Improvements: A Member Agency, both Member Agencies, or a Participating Agency may make a request to the ETSB to modify, improve or make additions to Consolidated Center's technology which will benefit and be paid for by the requesting agency(ies), unless the same be paid for through the funds available to or of the ETSB for the Consolidated Center, including grants, contracts, Member Agency Assessments, Participating Agency Assessments, and/or 9-1-1 surcharges, without disrupting the current operations and maintenance of the Consolidated Center ("Available Funds"). The ETSB will examine such request and determine or verify the cost of the proposal and whether or not it will have a positive effect on operations. The ETSB shall not unreasonably withhold approval for such request, provided that the request is deemed an appropriate expenditure of 9-1-1 surcharge funds by the Office of the Statewide 9-1-1 Administrator or applicable law, and the requested modifications, improvements, or additions shall be undertaken by the ETSB and become part of the Consolidated Center. If there are no Available Funds,the requesting agency(ies)will pay the ETSB for the incurred expense not later than 30 days after the request is completed. 6. Personnel: A. It is the intention of the Parties hereto that, upon the Consolidation Date, all of the County Telecommunicators and all of the Canton Telecommunicators will be offered employment jointly, by the County and the ETSB (the Canton Telecommunicators and County Telecommunicators, along with any employees hired in the future as employees of the Consolidated Center may be referred to hereinafter as the "Consolidated Center Telecommunicators"). All offers for employment to County Telecommunicators and Canton Telecommunicators, employed as of the Execution Date, shall be provided to said County Telecommunicators and Canton Telecommunicators prior to the Consolidation Date. B. The County and Sheriff shall lay off all then-employed County Telecommunicators, to be effective at 11:59:59 p.m. on the day immediately preceding the Consolidation Date. The County and Sheriff shall be solely responsible for compliance with any collective bargaining agreement or any bargaining which may be required relating to such actions. C. Canton shall lay off all then-employed Canton Telecommunicators, to be effective at 11:59:59 p.m. on the day immediately preceding the Consolidation Date. Canton shall be solely responsible for compliance with any collective bargaining agreement or any bargaining which may be required relating to such actions. D. Upon the Consolidation Date, the initially hired Consolidated Center Telecommunicators shall have their seniority between Canton or the County/Sheriff(as applicable) "dove-tailed" so that all initially hired Consolidated Center Telecommunicators are credited with their consecutive years of service with Canton or the County/Sheriff(as applicable).All probationary employees,previously employed by Canton or the County/Sheriff(as applicable) will remain on probation for a period of 7 one (1) year from their most recent hire date with Canton or the County/Sheriff (as applicable). A probationary employee shall have no seniority until they have completed their probationary period. Upon the completion of their probationary period, they will acquire seniority from their date of hire. Probationary employees will not be entitled to the privilege of bidding shifts. E. If not already done by the execution of this Agreement and continuing thereafter, a Director of the Consolidated Center (the "Director") shall be hired and supervised by the ETSB, and the Director shall be responsible for the supervision and management of all Consolidated Center Employees, subject to any applicable collective bargaining agreement. F. The County and the ETSB shall be considered joint employers of the Consolidated Center Telecommunicators and any other employees hired and assigned to work at the Consolidated Center. The administration and the payment of all wages or salaries and benefits of all Consolidated Center employees shall be performed by the County. The County and the ETSB agree that the County shall have sole control over the payment of wages and salaries and shall be responsible for the collection, reporting, and payment of all applicable taxes. All Consolidated Center employees shall be eligible for health insurance and Illinois Municipal Retirement Fund (IMRF) pension benefits through application to the County, similar to other employees of the County; however, subject to any applicable collective bargaining agreements that may later govern said matters for Consolidated Center employees (a "Future CBA"). The ETSB and the Director, as determined by the ETSB, shall be responsible for the hiring, discipline, termination, supervision, and management of all Consolidated Center employees, subject to any Future CBA,and shall assist the County in record-keeping regarding the employees(i.e., use of leave) and shall be responsible for approval of any leave or time-off unless otherwise designated to the County. The scheduling of work shifts, including overtime, shall be performed by the ETSB and the Director, as determined by the ETSB, subject to any Future CBA. G. Provided a written agreement (including but not limited to a memorandum of understanding) is reached between AFSCME and the County/Sheriff and/or County Telecommunicators have executed any necessary consents/authorizations (on a form acceptable to the County, the Sheriff, and the ETSB), any County Telecommunicators initially hired upon the Consolidation Date shall be credited with their unused or unpaid, accumulated amounts of vacation time, personal days and sick leave upon their hire by the County/ETSB with the Consolidated Center. The County shall be responsible for paying out any accumulated compensatory time pursuant to applicable law. County Telecommunicators initially hired as Consolidated Center Telecommunicators shall also be credited with their years of service and initial hire date with the County/Sheriff for purposes of retiree health insurance. If a County Telecommunicator fails to execute the necessary consent/authorization and/or AFSCME fails to execute a written agreement with the County/Sheriff, then the County Telecommunicator will be paid out his or her accrued vacation,personal days,and sick leave pursuant to applicable law and the AFSCME CBA. H. Provided the Canton Telecommunicators have executed necessary consents/authorizations (on a form acceptable to the County, Canton, and the ETSB), any Canton Telecommunicators initially hired upon the Consolidation Date shall be credited with their unused or unpaid, accumulated amounts of vacation time, personal days and sick leave 8 upon their hire by the County/ETSB with the Consolidated Center,which will be converted to an equivalent amount of days that they would have had in such vacation, personal and sick leave with the City of Canton.In the ETSB's sole discretion,they may choose to allow Canton Telecommunicators to have additional leave (as ETSB may determine) to account for stress days,which will not be paid out by Canton upon the Canton Telecommunicators' separation of employment with Canton. Canton Telecommunicators will not be permitted to transfer accumulated compensatory time,and Canton shall be responsible for paying out any accumulated compensatory time pursuant to applicable law. If a Canton Telecommunicator fails to execute the necessary consent/authorization, then the Canton Telecommunicator will be paid out his or her accrued vacation, personal days, and sick leave pursuant to applicable law and the FOP CBA. I. Upon the Consolidation Date, it is intended by the ETSB and the County that the following terms and conditions of the then-applicable AFSCME CBA will be substantially applied to the Consolidated Center Telecommunicators: (i) Article IX (Probationary Employees); (ii) Article X (Leaves of Absence); (iii) Article XII (Vacation); (iv) Article XIII (Holidays); (v) Article XIV (Insurance and Pension); and (vi) Article XIX (Wages). Notwithstanding the foregoing, the ETSB and County reserve the right to implement different terms and conditions and to implement any other work rules, policies, and regulations they deem appropriate and proper, consistent with applicable law, even if different from the AFSCME CBA and/or FOP CBA. In order to comply with other applicable law, such as the Illinois Paid Leave for All Workers Act, the above terms and conditions may be slightly modified or amended. The ETSB shall use reasonable efforts to adopt personnel policies substantially incorporating the above, along with other policies it deems appropriate, on or before the Consolidation Date. J. The ETSB and the Member Agencies acknowledge that the County Telecommunicators and Canton Telecommunicators are subject to different benefits, wages, and other terms of employment.As of the Consolidation Date,the initial benefits,wages,and other terms and conditions of employment of all Consolidated Center employees shall be established and determined by the ETSB, and in compliance with paragraph I of section 6 of this Agreement. K. The ETSB and the Member Agencies acknowledge that retiree health insurance benefits differ between Canton Telecommunicators and County Telecommunicators. Upon the Consolidation Date, it is intended that the provisions of Section 14.4 of the AFSCME CBA will be applied to Consolidated Center Telecommunicators; provided, however: (i) Carve-Out: The ETSB and the Member Agencies do not desire that any current County Telecommunicator or Canton Telecommunicator be unable to become eligible for retiree health insurance. Therefore,notwithstanding the foregoing,the ETSB and the Member Agencies agree that if Canton Telecommunicator Erin 9 Slack ("Slack") is hired as a Consolidated Center Telecommunicator, then upon her retirement with the Consolidated Center she shall be eligible to have the Consolidated Center pay seventy-five(75%)of the premium for health insurance for her,her spouse, and any dependents(if any)until she reaches the age of sixty- five (65)years. Upon attaining the age of sixty-five (65) years, or such other age as Congress may subsequently determine for Medicare, this coverage shall terminate, and Slack shall make application to Medicare or its successor program. The Consolidated Center shall offer Medicare supplemental insurance through the County's group insurance carrier. If Slack elects to buy Medicare supplemental insurance through the County, she shall pay the same percentage (25%). Until Slack attains the age of sixty-five (65) years, Canton shall reimburse the Consolidated Center, no less than annually, eight percent (8%) of the applicable premium paid by the Consolidated Center for Slack's retiree health insurance. F. The Consolidated Center will not recognize any labor organization as a representative of any Consolidated Center employees unless pursuant to the representation procedures contained in the Illinois Public Labor Relations Act. G. The negotiation of any Future CBA or collective bargaining matters (including, but not limited to, contract negotiation, mediations, arbitrations, and grievance procedures), if any, related to Consolidated Center employees("Future Labor Matters"), shall be led by the ETSB and/or its legal counsel; provided, however, that the ETSB shall coordinate any benefit issues (e.g., health insurance) with the County and other matters which reasonably require the County's input to ensure that said benefits or other matters may be adequately provided under any Future CBA. At least one County representative, which shall not be a member of the ETSB, shall be permitted to serve on the bargaining committee with the ETSB and/or its legal counsel for any Future CBA (or successor thereto). The Director shall participate in Future Labor Matters, unless otherwise directed by the ETSB. Notwithstanding the foregoing, the ratification and/or approval of any Future CBA or other labor agreement (e.g., memorandum of agreement or side letter of agreement) shall require the approval of both the ETSB and the County, unless prohibited by law. 7. Facilities. A. New Facility: (i) The Member Agencies and the ETSB agree that the Awards will be utilized by the County and/or ETSB for the purposes of constructing a separate facility to be used solely for purposes of the Consolidated Center(the "New Facility") and for the purchase, lease, installation, modification, upgrading, removal, or construction of the New Facility and the purchase and installation of equipment including, but not limited to: any furniture, fixtures, and other equipment for purposes of operating the Consolidated Center, unless prohibited by the Grant Agreement or other applicable state or federal law, rule, or regulation. (ii) The New Facility shall be constructed upon real property located at or about 360 E. Linn Street, Canton, Illinois 61520 (the "Facility Property") 10 (iii) On or before the Consolidation Date, Canton will sell the Facility Property to the County for purposes of the New Facility, pursuant to an Agreement for Purchase and Sale of Real Estate, to be negotiated and agreed upon by and between the County and Canton. (iv) Upon acquisition of the Facility Property by the County,the County and/or ETSB shall cause the construction of the New Facility and installation of all necessary furniture, fixtures, and other equipment to permit the ETSB to perform its duties pursuant to this Agreement and operate the Consolidated Center. The County and ETSB shall negotiate and agree upon a lease agreement for ETSB to operate the Consolidated Center at the Facility Property. (v) Upon completion of the New Facility, the Member Agencies and the ETSB shall cause for the installation,maintenance, and operation of the Consolidated Center to be housed within the New Facility, including by cooperating with Canton and the County and coordinating the removal and transfer of ETSB owned equipment, as necessary,to the New Facility,or to other locations. (vi) During the Term of this Agreement, including any extensions thereof, the New Facility shall be used solely by the ETSB for purposes of the Consolidated Center and services required by this Agreement. (vii) The ETSB and the County shall be responsible for all routine maintenance, janitorial services, snow removal, lawn/shrubbery care, and other services typically performed on ETSB/County-owned facilities. (viii) Neither the ETSB nor Canton shall be charged any rent for utilization of the New Facility for the purposes set forth in this Agreement. B. Prior Facilities: (i) Prior to the completion of construction of the New Facility, Canton, the County and the Sheriff shall permit the ETSB to utilize the existing spaces dedicated for their respective PSAPs, located at 2 N. Main Street, Canton, IL 61520 and 268 W. Washington Avenue, Lewistown, IL 61542 (respectively) (the "Prior Facilities"), for purposes of operating the Consolidated Center. (ii) The ETSB and the Director, as determined by the ETSB, shall coordinate with the Sheriff (or his designee) and Canton's Chief of Police (or his designee) regarding the daily operations of the Consolidated Center so as not to unreasonably interfere with the regular day-to-day operations of the Canton Police Department or the Sheriff's Office, as applicable. Similarly, the Sheriff (or his designee) and Canton's Chief of Police (or his designee) shall coordinate with the ETSB and the Director,as determined by the ETSB,regarding their daily operations so as not to unreasonably interfere with the regular day-to-day operations of the Consolidated Center. (iii) Neither Member Agency nor the ETSB shall require either Member Agency or the ETSB, as applicable, to pay any rent or other charges related to the use of any Prior Facilities for purposes of this Agreement prior to the completion of the 11 New Facility. The County/Sheriff and Canton shall, at their own cost, provide suitable space and utilities in the Prior Facilities as required to locate required communications technology and equipment to provide Consolidated Center services prior to the completion of the New Facility. (iv) Prior to the completion of the New Facility, the staffing levels (if any) at any Prior Facilities for purposes of the Consolidated Center's operations shall be in the sole discretion of the ETSB, and the Director, as determined by the ETSB. 8. Consolidated Center Assets. The ETSB may acquire, construct, receive, own, manage, lease or sell their assets related to the Consolidated Center,as permitted by law.Canton and the County may transfer to the ETSB and/or County their title to, and operational control of, any PSAP(s), dispatch equipment, or other communication-related assets which then become utilized for purposes of the Consolidated Center. This Agreement does not vest in either Member Agency or the ETSB any authority with respect to other facilities or assets of the ETSB or the other Member Agency. 9. Amendments. Either Member Agency or the ETSB may request changes to this Agreement. Amendments to this Agreement may be made only by written agreement of both Member Agencies and the ETSB. The ETSB and the Member Agencies agree to reasonably cooperate in good faith and to amend any provisions necessary to provide the services contemplated by this Agreement and to accommodate their respective needs. 10. Liabilitv., Except as may be otherwise provided for in this Agreement,by individual contracts or by law, the Member Agencies shall not be liable for the debts and liabilities of the ETSB in the provision of services under this Agreement. 11. Governing Law. This Agreement shall be subject to and governed by the laws of the State of Illinois. 12. Severability. In the event that any provision of this Agreement is rendered invalid by the decision of any court or by the enactment of any law, such provision of this Agreement shall be deemed to have never been included herein and the balance of this Agreement shall continue in effect. 13. Notices. Any notice required to be given by or on behalf of any party to the other shall be deemed given when mailed by registered or certified mail,return receipt requested,as follows: If to Canton: City of Canton Attn: Mayor 2 N. Term of Agreement: This Agreement shall be in full force and effect upon the Execution Date and shall remain in effect until November 30, 2030. Unless terminated by a majority vote of the Member Agencies and the ETSB, this Agreement will renew for subsequent periods of five(5)years beginning December 1,2030. Notwithstanding the above,beginning on or after December 1, 2030, a Member Agency or the ETSB may withdraw from this Agreement upon one year's written notice to the other Member Agency(ies) and the ETSB, as applicable. In the event of a withdrawal by any Member Agency or the ETSB,all Member Agencies and the ETSB shall meet to discuss and coordinate the effects of said withdrawal, including but not limited to a potential termination of this Agreement. Prior to and until the effective date of the withdrawal, the withdrawing entity shall remain obligated for any responsibilities required under this Agreement. 15. Complete Agreement: Except as otherwise expressly provided herein, this Agreement supersedes all prior agreements, negotiations and discussions relative to the subject matter hereof and fully integrates the agreement of the parties. 16. Paragraph Headings: Paragraph headings and references are for the convenience of the parties and are not intended to limit, vary, define or expand the terms and provisions contained in this Agreement and shall not be used to interpret or construe the terms and provisions of this Agreement. 17. Counterparts: This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute a duplicate original, but all counterparts together shall constitute a single agreement. Notwithstanding the foregoing, this Policy shall be re-evaluated by the Member Agencies and the ETSB no less than once per calendar year at an in-person meeting of representatives of the Member Agencies and the ETSB. If a proposed amendment to this Policy is not ratified by the corporate authorities of the Member Agencies and the ETSB, then the Funding Formula in place at the time of the proposed amendment shall remain in effect. The Member Agencies and the ETSB recognize the need to establish and provide for funding for the Consolidated Center in a fair and equitable manner during the process of consolidation. The Parties agree to engage in good faith negotiations as may be necessary to reach agreement as to the manner of funding the Consolidated Center during both the consolidation process and during its continuing operations. FUNDING FORMULA Total Gross Personnel Costs of the Consolidated Center Less: Other ETSB Contributions Determined Soley at the Discretion of the ETSB Member Agencies' Obligation For purposes of the above Funding Formula, "Personnel Costs of the Consolidated Center" include: wages, salaries, bonuses, severance pay, the employer portion of any applicable health insurance premium that is not covered by the tax levy exclusion below for active and/or retired employees of the Consolidated Center, the employer portion of any health reimbursement arrangement with active and/or retired employees of the Consolidated Center, payroll taxes that are not covered by the tax levy exclusion below, hiring and recruiting expenses, overtime, compensatory time, holiday pay, sick leave, vacation pay, personal days, and other paid time off for the telecommunicators working in the Consolidated Center, as well as certain attorney's fees and costs directly related to labor and employment matters of the Consolidated Center (e.g., collective bargaining matters,discipline,layoffs,recalls,labor strikes,grievances,and arbitration). "Personnel Costs of the Consolidated Center"do not include(i)any personnel related expenses or costs that may be covered by a tax levy that has no limit,as such expenses and costs shall be levied by and paid for by the County(e.g. IMRF contributions,worker's compensation insurance,payroll taxes such as Social Security and Medicare, etc.); (ii) any signing bonuses paid to the initial Consolidated Center Telecommunicators by or through the ETSB;or(iii)attorney's fees and costs related to any worker's compensation issues, violation of any federal or state law or regulation (including, e.g. FMLA), tortious claims, discrimination claims, or other legal matters of the Consolidated Center, ETSB, and/or County. MEMBER AGENCY ASSESSMENTS County: Fifty-three percent(53%) of the Member Agencies' Obligation Canton: Forty-Seven Percent(47%)of the Member Agencies' Obligation A-1 Each Member Agency shall contribute its Member Agency Assessment on a monthly basis, beginning on or about September15, 2026, and continuing on or about the fifteenth (15th) day of each month thereafter, to the Fulton County Treasurer by wire,ACH, or other certified funds, as may be agreed upon between the Fulton County Treasurer, the ETSB and each Member Agency. The total amount of the Member Agencies' Obligation shall be provided by the ETSB and the Director, as determined by the ETSB, in a written statement and accounting of the Member Agencies' Obligation, to each Member Agency, on or about the first (Ist) day of each month, beginning on September 1, 2026. PARTICIPATING AGENCY ASSESSMENTS Excepting any Member Agency, if any other unit of government, law enforcement agency, fire department or fire protection district, or other emergency service provider (collectively a "Participating Agency") desires to obtain services from the Consolidated Center, then upon a written agreement approved by and between the ETSB and the Participating Agency, said Participating Agency may receive the agreed upon services in exchange for contributing a Participating Agency Assessment as determined by the ETSB. Each Participating Agency shall contribute its Participating Agency Assessment as described in its agreement with ETSB, to the Fulton County Treasurer by wire,ACH, or other certified funds, as may be agreed upon between the Fulton County Treasurer, the ETSB and each Participating Agency. The Member Agencies acknowledge that the County has historically received all Participating Agency income,and upon the Consolidation Date,the County's Member Agency Assessment will be credited with any Participating Agency Assessments received. Upon the one (1) year anniversary of this Agreement, and annually thereafter, the Member Agencies agree to meet to discuss whether this practice will continue or otherwise be extended. A-2
