LINN STREET,CANTON, ILLINOIS 61520 TO FULTON COUNTY, ILLINOIS WHEREAS, the City of Canton, Fulton County, Illinois (the "City"), is a non-home rule unit of government located in Fulton County, Illinois (the "County"); WHEREAS, the City and County are each "municipality" as that term is defined in 50 ILCS 605/1; WHEREAS,the City is wholly within the corporate limits of the County; WHEREAS,the City currently owns real property located at or about 360 E. Linn Street, Canton, Illinois, which is legally described as follows: LOTS NUMBERED ONE (1), SIXTEEN (16), SEVENTEEN (17), THIRTY-TWO (32), THIRTY-THREE (33) AND FORTY-EIGHT (48) IN EAST AND EAST JOHNSON ADDITION TO THE CITY OF CANTON, SITUATED IN THE COUNTY OF FULTON, STATE OF ILLINOIS. PIN: 09-08-34-415-003 Commonly known as: 360 E. Linn Street, Canton, IL 61520 (hereinafter the "Premises"); WHEREAS, the corporate authorities of the City have hereby opined, by this Ordinance, that the Premises are no longer necessary, appropriate, or required for the use of the City and that it would be in the best interests of the City to transfer the Premises to the County for the Purpose (defined below); WHEREAS, the County has declared that it is necessary or convenient for it to use, occupy,or improve the Premises in the making of a public improvement or for any public purpose, particularly the construction of consolidated 9-1-1 dispatch center(the "Purpose"); WHEREAS, Section 2 of the Local Government Property Transfer Act (50 ILCS 650/2) provides, in part: If such real estate shall be held by the transferor municipality without restriction, the said municipality shall have power to grant or convey such real estate or any portion thereof to the transferee municipality upon such terms as may be agreed upon by the corporate authorities of both municipalities, by an instrument of conveyance signed by the mayor, president or other chief executive of the transferor municipality, attested by its clerk or secretary and sealed with its corporate seal, all duly authorized by a resolution passed by the vote of z/3 of the members of the legislative body of the transferor municipality then holding office, and duly recorded in the office of the recorder in the county in which said real estate is located. * * * The transferee municipality shall thereafter have the right to use, occupy or improve the real estate so transferred for any municipal or public purpose and shall hold said real estate by the same right, title and interest by which the transferor municipality held said real estate immediately prior to said transfer. WHEREAS, the corporate authorities of the City have determined that it is in the best interests of the City to sell the Premises to the County,for a purchase price no less than$75,000.00, subject to the execution and negotiation of an Agreement for Purchase and Sale of Real Property by and between the City and County. NOW, THEREFORE, BE IT ORDAINED THE CITY COUNCIL OF THE CITY OF CANTON, FULTON COUNTY, ILLINOIS AS FOLLOWS: l. That the Recitals set forth above, and all facts and statements contained therein,are found to be true and correct and are hereby incorporated and adopted as part of this Ordinance; 2. The Mayor is hereby authorized to sell the Premises on behalf of the City for a purchase price no less than $75,000.00 (plus/minus all necessary closing costs, settlement fees, recording fees, and other costs or expenses related to closing) and to execute and deliver any and all the Agreement (defined below), deeds, closing documents, or other documents necessary in order to accomplish same; 3. The Agreement for Purchase and Sale of Real Property (the "Agreement"), substantially as attached hereto as "Exhibit A," is hereby APPROVED and the Mayor is hereby authorized to execute same, which shall be attested to by the City Clerk; 4. The Mayor is hereby authorized to negotiate or make revisions to the Agreement, provided that the purchase price of the Premises is no less than $75,000.00 (plus/minus all necessary closing costs, settlement fees, recording fees, and other costs or expenses related to closing) and that closing of the Premises shall not occur unless an Intergovernmental Agreement related to a consolidated 9-1-1 dispatch center is approved and executed by the City, County, and Fulton County Emergency Telephone Service Board ("ETSB"); 5. This Ordinance shall be in full force and effective immediately upon its passage by the City Council of the City of Canton and approval by the Mayor thereof.
