HomeMy WebLinkAboutResolution #5525 - Appointment of Budget Officer and Economic Development Adminstator and Approving Agreement for Financial and Economic Development Services RESOLUTION NO. 5525 A RESOLUTION REGARDING APPOINTMENT OF BUDGET OFFICER AND ECONOMIC DEVELOPMENT ADMINISTRATOR AND APPROVING AGREEMENT FOR FINANCIAL AND ECONOMIC DEVELOPMENT SERVICES WHEREAS, the Mayor of the City of Canton has determined that it is necessary and in the best interests of the City of Canton to enter into a services agreement with Hometown Consulting, LLC ("HTC") to provide financial and economic development services to the City, substantially as set forth in Exhibit A attached hereto and incorporated herein, and to appoint HTC as the City's Budget Officer and Economic Development Administrator pursuant to Title 1, Chapter 30 of the Canton Municipal Code; WHEREAS, the Mayor has appointed HTC to serve as the City's Budget Officer and Economic Development Administrator, subject to the advice, consent, and approval of the City Council; and WHEREAS, the City Council has considered the appointment by the Mayor and further provides advice, consents to, and approves of the appointment of HTC to serve as the City's Budget Officer and Economic Development Administrator. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF CANTON,ILLINOIS, AS FOLLOWS: 1. That the City hereby finds as fact the recitals set forth above and incorporates said recitals herein as though fully set forth. 2. Hometown Consulting, LLC ("HTC") is hereby appointed as Budget Officer and Economic Development Administrator, pursuant 65 ILCS 5/8-2-9.1 and Title 1, Chapter 30 of the Canton Municipal Code, subject to the full execution of a certain services agreement (or "Agreement for Financial and Economic Development Services") by the City and HTC (as described below) and execution of an oath and bond; 3. The bond to be provided by HTC shall be in an amount no less than that statutorily established for the City Treasurer (see 65 ILCS 5/3.1-10-30), which is hereby approved subject to acceptance by the Mayor; 4. HTC's appointment shall be for one (1) year, beginning on the Effective Date of the services agreement; 5. That the services agreement, substantially in the form attached hereto and incorporated herein as Exhibit A, is hereby approved by the Canton City Council. 6. That the Mayor of the City of Canton, Illinois is hereby authorized to negotiate any further terms he deems necessary and to execute said services agreement on behalf of the City of Canton, provided that the annual cost provided for therein shall not exceed $98,500.00 and the term shall not exceed one (1) year. 7. That this Resolution shall be in full force and effect immediately upon its passage by the City Council of the City of Canton, Illinois and approval by the Mayor thereof. Smith-Walters,City Clerk Vilalttxa HOMETOWN CONSULTING "A Community&Economic Development Consulting Group" Nuiw AGREEMENT FOR FINANCIAL AND ECONOMIC DEVELOPMENT SERVICES THIS AGREEMENT FOR FINANCIAL AND ECONOMIC DEVELOPMENT SERVIECES ("Agreement") is entered into as of November. 2025 (the "Effective Date), by and between the City of Canton, Illinois,hereinafter called "City" and Hometown Consulting, LLC. PURPOSE: It is agreed that the City seeks to further enhance its financial operations and economic development capacity.The City wishes to engage Hometown Consulting, LLC, a third-party entity,to conduct the following activities in the City's interest: a. Serve as the City's Budget Officer and Economic Development Administrator in accordance with applicable law, including the Illinois Municipal Code and Canton Municipal Code. b.Advise local officials on financial,community,and economic development policies, programs,activities,and strategies. c. Provide budget oversight,financial reporting systems,and administrative support for improved operational efficiency. d.Advise and assist with the development and redevelopment of properties located within the City's jurisdiction. e. Serve as the point person to the City for participation and roles in community and economic development activity. f. Advise other City-based organizations and businesses to promote further retail and commercial growth and provide resources for small business support; and g. Provide services as proposed in ExhibitA. RESPONSIBILITIES AND SERVICES Hometown Consulting, LLC, agrees to provide the following responsibilities and services (collectively the "Services") to the City during the Term (as defined below): 1. See Exhibit B attached,which remains subject to change at the discretion of the Mayor and/or City Council, pursuant to Section 1-30-3(D) of the Canton Municipal Code. 2. Performance of all duties and responsibilities established by Title 1, Chapter 30 of the Canton Municipal Code, entitled"Budget Officer and Economic Development Administrator,"and compliance with all other City of Canton ordinances,as may be amended from time-to-time. 3. Performance of all duties and responsibilities of a Budget Officer pursuant to Sections 8-2-9.1 through 8-2-9.10 of the Illinois Municipal Code (65 ILCS 5/8- 2-9.1 - 9.10),as are applicable to the City and as may be amended from time- to-time. 4. Perform all other such duties and responsibilities as may be assigned by the Mayor, and consistent with Paragraphs 1-3 above. S. Endeavor to perform services as set forth in Exhibit A to the extent they do not conflict with Paragraphs 1-4 above. Hometown Consulting, LLC shall perform the Services at the direction of the Mayor, unless otherwise designated by the Mayor,and shall cooperate with and work with all other city officials and personnel as necessary to perform the Services. MINIMUM STAFFING OF SERVICES: 1. Brian R. Baylor of Hometown Consulting, LLC shall be assigned by Hometown Consulting, LLC to work in the City, providing services to the City, no less than sixteen (16) hours per week and as scheduled by agreement of the Mayor.The City reserves the right to modify the schedule of the minimum hours as it deems necessary for the accomplishment of the Services. 2. Cole McDaniel of Hometown Consulting, LLC will be available no less than 8 a.m. -4 p.m., daily,by phone or e-mail,to provide services pursuant to this Agreement. Cole McDaniel will also attend no less than one (1) department head meeting per month. 3. Hometown Consulting, LLC will attend no less than one (1) regular City Council meeting per month, and it will attend other City Council meetings, including regular, special,and/or committee meetings, upon request from the City and as otherwise necessary to adequately, professionally, and efficient provide the Services. Hometown Consulting, LLC acknowledges that during certain periods of the year (e.g.,budget planning) additional meetings may be necessary. 4. In addition to the foregoing, Hometown Consulting, LLC shall provide a minimum level of staffing to adequately, professionally, and efficiently provide the Services throughout the Term. FUNDING: The City agrees to pay Hometown Consulting, LLC, ninety-eight thousand five hundred dollars ($98,500) annually,to be paid in twelve (12) equal monthly installments of$8,208.33 throughout each year of the agreement term. Invoices will be submitted monthly beginning November 1, 2025 and will be due within thirty(30) days of the invoice. TERM: The term of this Agreement shall be for one (1) year, beginning on the Effective Date and ending on November . 2026 (the "Term").This Agreement shall not be automatically renewed. INSURANCE REQUIREMENTS/ INDEMNIFICATION: Throughout the term of this Agreement, Hometown Consulting, LLC shall: (i) maintain workers compensation and employer's liability insurance in the amount required by statute; (ii) maintain comprehensive general liability insurance with coverage of at least one million dollars ($1,000,000) per occurrence for bodily injury and property damage, and $2,000,000 general aggregate; (iii) maintain professional errors and omissions insurance for losses resulting from errors or omissions in connection with Hometown Consulting, LLC's performance and provision of the Services pursuant to this Agreement with coverage of at least one million dollars ($1,000,000); and (iv) maintain automobile liability insurance, including owned, non-owned and hired car liability insurance for combined limits of liability of$1,000,000 per occurrence. Upon the execution of this Agreement, Hometown Consulting, LLC shall provide the City with Certificates of Insurance or self-insurance evidencing the above coverage with the City listed as an "additional insured" thereon, and Hometown Consulting, LLC shall provide the City with prompt written notice of any material change. Hometown Consulting, LLC hereby agrees to indemnify, hold harmless and defend the City and its elected or appointed officials, Mayor, alderpersons, City Treasurer, City Clerk, department heads, attorneys, insurers, contractors, employee or agent thereof (each of the foregoing being hereinafter referred to individually as an "Indemnified Party") against all claims, liabilities, losses, expenses (including attorney's fees and legal expenses related to such defense), fines, penalties, taxes or damages (collectively "Liabilities") asserted by any third party where such Liabilities arise out of or result from: (1) the negligence or willful misconduct of Hometown Consulting, LLC in the course of providing any Services hereunder; or (2) the representations or warranties made by Hometown Consulting, LLC hereunder, or their breach; (3) Services furnished by Hometown Consulting, LLC in connection with this Agreement; (4) the City's use thereof or exercise of any license rights related to such Services furnished by Hometown Consulting, LLC infringes (whether directly, contributorily, by inducement or otherwise), misappropriates, or violates a parry's or other entity's intellectual property rights.; and/or (5) any obligations or liabilities Hometown Consulting, LLC has in relation to its members, managers, employees and agents, including without limitation the payment of any wages/compensation, the provision of any benefits, payroll/employment taxes. The City shall promptly notify Hometown Consulting, LLC of any third party claim and Hometown Consulting, LLC shall, at the City's option, conduct the defense in any such third party action arising as described herein at Hometown Consulting, LLC's sole expense and the City shall cooperate with such defense. The City shall pay the premium of any bond required pursuant to the Canton Municipal Code or Illinois Municipal Code resulting from Hometown Consulting, LLC serving as an officer of the City. TERMINATION OF AGREEMENT AND RIGHT TO REMEDY: Either party may terminate this Agreement with or without cause using the following process: the terminating party shall provide a written 'Itemized Notice' which itemizes each cause for termination,if any. No less than 91 days and no more than 95 days after delivery of the Itemized Notice,the terminating party may provide a 'Notice of Immediate Termination' to the other party. Upon delivery of Notice of Immediate Termination,this Agreement is terminated, and all payments shall be prorated through (and including) the date of termination. If Notice of Immediate Termination is not timely provided, the Itemized Notice shall have no effect,but no failure to insist on strict performance shall be construed as a waiver or estoppel. AMENDMENTS AND ADDENDUM: This Agreement may be amended at any time upon mutual written agreement by all parties.The parties may also agree to contract for the provision of additional services such as marketing or grant writing as an addendum to this Agreement.Such additional agreements shall be in writing and appended to this document.This Agreement may not be assigned without written consent of the City. RELATIONSHIP: The parties agree that Hometown Consulting, LLC's relationship with City is that of an independent contractor and nothing in this Agreement shall be construed as creating a partnership, joint venture or employer-employee relationship. Neither Hometown Consulting, LLC nor any of its agents will be entitled to any of the benefits which Canton may make available to its employees, such as group insurance or retirement benefits. Hometown Consulting, LLC shall be solely responsible for the payment of all wages/compensation and benefits for its personnel and for complying with all applicable local, state and federal laws governing the employment of its personnel and related tax obligations, including but not limited to obligations such as payment of federal, state and local taxes, social security, disability and other contributions attributable to the rendition of Services hereunder to the City. Hometown Consulting, LLC shall indemnify, hold harmless and defend Canton from any and all claims, liabilities, damages, taxes, fines or penalties (i) sought or recovered by any personnel, third-party or governmental entity, including but not limited to the Internal Revenue Service or any state taxing authority, arising out of Hometown Consulting, LLC's alleged failure to pay such wages/compensation, benefits, taxes or make such contributions, or (ii) asserted against the City alleging that the City is an employer, co-employer or joint employer of any Hometown Consulting, LLC personnel. Nothing in this Agreement shall be deemed to constitute Hometown Consulting, LLC or the City the agent of the other. Neither Hometown Consulting, LLC nor the City shall be or become liable or bound by any representation, act or omission whatsoever of the other. OWNERSHIP OF MATERIALS RELATED TO SERVICES: The parties agree that all ideas, know-how, processes, information, drawings, documents, designs, models, inventions, copyrightable material and other tangible and intangible materials authored, prepared, created, made, delivered, conceived or reduced to practice, in whole or in part, by Hometown Consulting, LLC solely in the course of providing the Services, including without limitation computer programs, computer systems, data and documentation, (collectively, the "Works") are the sole and exclusive property of the City and shall be considered works made for hire. Works shall not include any ideas, know-how, processes, information, drawings, documents, designs, models, inventions, copyrightable material and other tangible and intangible materials authored, prepared, created, made, delivered, conceived or reduced to practice prior to performance of the Services or outside the scope of performing the Services (the "Prior Works"). In the event any such Works do not fall within the specifically enumerated works that constitute works made for hire under the United States copyright laws, Hometown Consulting, LLC hereby irrevocably, expressly and automatically assigns all right, title and interest worldwide in and to such Works to the City, including, without limitation, all copyrights, patent rights, trade secrets, trademarks, moral rights and all other applicable proprietary and intellectual property rights. If Hometown Consulting, LLC has any rights to the Works that cannot be assigned to the City, Hometown Consulting, LLC unconditionally and irrevocably: (1) waives the enforcement of such rights; and (2) grants to the City during the term of such rights, an exclusive, irrevocable, perpetual, worldwide, royalty-free license to reproduce, create derivative works of, distribute, publicly perform and publicly display such Works, by all means now known or later developed, with the right to sublicense such rights through multiple levels of sublicensees. Hometown Consulting, LLC agrees to render all reasonably required assistance to the City to protect the City's rights hereinabove described. In the event that the City is unable to secure Hometown Consulting, LLC's signature on any documents deemed necessary by the City to carry out the purposes of this paragraph, Hometown Consulting, LLC hereby irrevocably designates and appoints the City or its designee(s) as Hometown Consulting, LLC's agent and attorney-in-fact, which appointment is coupled with an interest, to act for and in Hometown Consulting, LLC's behalf to execute, verify and file any such documents. Subject to the terms and conditions of this Agreement, Hometown Consulting, LLC grants to the City a perpetual, non-exclusive right, royalty free, paid-up, and irrevocable license to use and modify the Prior Works in connection with the City's use of the deliverables. Minimum Qualifications (for those employees of Hometown Consulting, LLC assigned to provide Services to the City of Canton): • Bachelors' degree in Public Administration, Finance, Urban Planning, Business Administration, or a related field. • Minimum of 4 years' experience in municipal finance, budgeting, or economic development • Strong understanding of Illinois municipal finance laws and regulations, municipal budget practices, TIF district management and BDD administration. • Strong understanding and familiarity with the Canton Municipal Code and other applicable law related to competitive bidding, municipal procurement, zoning regulations, and unsafe or dangerous buildings • Excellent written and verbal communication skills, including the ability to prepare reports and present to the public body. • Proficiency in financial modeling, Microsoft Excel, and municipal or economic development software systems.
