WHICH IS CONTAINED IN THIS PAMPHLET.

ORDINANCE NO. 4344
AN ORDINANCE AUTHORIZING AND DIRECTING THE SALE OF A
LEAF MACHINE
WHEREAS,the corporate authorities have determined that the City of Canton presently
owns certain items of personal property, being a Scag Giant-Vac (Serial No. 013A00050) and
attachments, which is no longer necessary or useful to, or for the best interest of the City
(hereinafter collectively the"Personal Property").
NOW,THEREFORE,BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF CANTON, Fulton County, Illinois as follows:
1. The City of Canton hereby fmds as fact the recitals set forth above and are incorporated
herein as though fully set forth;
2. The Personal Property is hereby authorized to be sold to at a price of no less than Twelve
Thousand Five Hundred and No/100 Dollars ($12,500.00) to the City of Farmington, an
Illinois municipal corporation;
3. The Mayor, or his designee, is authorized to execute any and all titles, bills of sale,
brokerage offers, listing agreements, or other documents necessary to accomplish sale of
the Personal Property as set forth above; and
4. That this Ordinance shall be effective immediately upon its passage by the City Council of
the City of Canton, Illinois, by at least a majority vote of the Corporate Authorities and
approval of the Mayor thereof.
PASSED by the City Council of the City of Canton, Fulton Count Illinois on the 2'1 day of
May, 2023.

PERSONAL PROPERTY BILL OF SALE
BE IT KNOWN that the CITY OF CANTON ("Seller"), an Illinois municipal corporation,2 N.
Main Street,Canton,Illinois 61520,in payment of the sum of Twelve Thousand Five Hundred and No/100
Dollars ($12,500.00) and other good and valuable consideration, receipt and sufficiency of which are
hereby acknowledged,on this of June,2023,does hereby grant,convey,sell and transfer to the CITY
OF FARMINGTON("Buyer"),an Illinois municipal corporation,322 E.Fort Street,Farmington,IL 61531,
and Buyer's lawful successors, executors, heirs and assigns forever, the following described personal
property(hereinafter referred to as the"Personal Property"): Scag Giant-Vac(Serial No. 013A00050)and
attachments.
Payment and Delivery
The total purchase price of the Personal Property is Twelve Thousand Five Hundred and No/100 Dollars
($12,500.00). Buyer shall accept delivery at and be responsible for all transportation of the Personal
Property from the City of Canton.Buyer assumes all risk of loss upon delivery(or pick-up)from the City
of Canton and shall be solely responsible for any insurance upon the Personal Property upon delivery (or
pick-up).
Representations and Warranties
Seller represents and warrants to Buyer that:
1. Seller is the lawful owner of the Personal Property with the full legal right and authority to enter
into the transactions contemplated hereby and to sell,transfer and convey the Personal Property in
accordance with the terms hereof;
2. the transfer of the Personal Property is rightful;
3. the Personal Property is free of all liens,encumbrances and liabilities whatsoever;and
4. to the best of Seller's knowledge, the information and facts disclosed herein with regard to the
Personal Property and its title are true and correct in all material respects.
Both parties hereby represent and warrant to each other that they have the lawful authority to enter into this
Bill of Sale and consummate the transactions contemplated herein.The undersigned shall further have the
authority to execute any and all further documents and instruments necessary to effectuate the foregoing.
SELLER HEREBY NOTIFIES BUYER, AND BUYER HEREBY ACKNOWLEDGES AND AGREES,
THAT THE PERSONAL PROPERTY IS BEING SOLD "AS IS" WITHOUT WARRANTY OF ANY
KIND, EITHER EXPRESS OR IMPLIED, REGARDING THE CONDITION OF THE PERSONAL
PROPERTY. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE DESCRIPTION ON
THE FACE HEREOF.
BUYER HAS THE RIGHT TO INSPECT THE PERSONAL PROPERTY AT ANY REASONABLE
PLACE AND TIME AND IN A REASONABLE MANNER BEFORE THE PAYMENT FOR OR
ACCEPTANCE OF THE PERSONAL PROPERTY. SELLER ASSUMES NO RESPONSIBILITY FOR
ANY REPAIRS REGARDLESS OF ANY ORAL STATEMENTS MADE ABOUT THE PERSONAL
PROPERTY.
IN WITNESS WHEREOF, Seller and Buyer have hereto set their hands to this Bill of Sale on this,
