AN ORDINANCE APPROVING AN AGREEMENT TO AMEND A REDEVELOPMENT AGREEMENT FOR THE FORMER INTERNATIONAL HARVESTER SITE BETWEEN THE CITY OF CANTON,ILLINOIS AND COOK CANTON INCORPORATED,DATED JUNE 5,2009,AND TO ESTABLISH THE CITY OF CANTON'S REMEDIATION REIMBURSEMENT OBLIGATIONS TO COOK CANTON INCORPORATED, COOK CANTON REAL ESTATE,LLC,AND/OR OTHER COOK ENTITIES FOR THE FORMER INTERNATIONAL HARVESTER SITE WHEREAS, the Mayor and City Council of the City of Canton, Fulton County, Illinois, an Illinois municipality(the"City"),have determined that amending the TIF Redevelopment Agreement for the Former International Harvester Site between the City of Canton, Illinois and Cook Canton Incorporated, dated June 5, 2009, and establishing the City of Canton's remediation reimbursement obligations to Cook Canton Incorporated,Cook Canton Real Estate,LLC,and/or other Cook entities for the former International Harvester.Site is in the best interest of the citizens of the City of Canton. THEREFORE,be it ordained by the Mayor and City Council of Canton,Illinois,in the County of Fulton, as follows: 1. The Mayor is hereby authorized and directed to enter into and execute on behalf of the City a Reimbursement Agreement (or other similar agreement) to amend the TIF Redevelopment Agreement for the Former International Harvester Site between the City of Canton, Illinois and Cook Canton Incorporated, dated June 5, 2009, and to establish the City of Canton's remediation reimbursement obligations to Cook Canton Incorporated, Cook Canton Real Estate, LLC, and/or other Cook entities (collectively "Cook") for the former International Harvester Site. 2. The City's obligations to Cook in relation to the reimbursement of remediation expenses related to the installation of engineered barriers shall not exceed $831,050.00 pursuant to the terms of the Reimbursement Agreement. 3. The City Clerk of the City of Canton is hereby authorized and directed to attest such execution by the Mayor. 4. The City Attorney is authorized to review, draft, edit, or otherwise prepare the Reimbursement Agreement prior to execution by the Mayor. 5. The Reimbursement Agreement shall be effective the date of its execution. 6. This Ordinance shall be in full force and effect from and after its passage and approval as required by law. 2 PASSED APPROVED AND ADOPTED by the Mayor and City Council of the City of Canton this 6'day of December,2022.
