RESOLUTION N0. ~ /
A RESOLUTION APPROVING A WATER PURCHASE CONTRACT BETWEEN THE CITY OF CANTON
AND THE DUNFERMLINE-ST. DAVID WATER & SEWER COMMISSION AND AUTHORIZING AND
DIRECTING THE MAYOR AND CITY CLERK TO EXECUTE SAID CONTRACT ON BEHALF OF
THE CITY OF CANTON.
WHEREAS, the City of Canton, Illinois has entered into negotiations
with the Dunfermline-St. David Water & Sewer Commission, relative to the
sale of water to said Commission; and
WHEREAS, the City Council of the City of Canton, Illinois has re-
viewed the terms of the proposed Water Purchase Contract, a copy of which
is attached hereto and made a part hereof as Exhibit A; and
WHEREAS, the City Council of the City of Canton, Illinois has
determined that it is desirable and in the best interests of the City
of Canton to approve said Contract.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
CANTON, ILLINOIS, AS FOLLOWS:
1. That the Water Purchase Contract between the City of Canton
and the Dunfermline-St. David Water & Sewer Commission, which is attached
hereto and made a part hereof as Exhibit A, is hereby approved ~.n sub-
stantially the form attached as Exhibit A, said Contract to be subject
to and effective pursuant to the terms and conditions set forth therein.
2. That the Mayor and the City Clerk of the City of Canton, Illinois
are hereby authorized and directed to execute said Contract on behalf of
the City of Canton.
3. That this Resolution shall be in full force and effect upon its
passage by the City Council of the City of Canton, Illinois and approval
by the Mayor thereof.

WITNESSETH:
Whereas, the Purchaser is organized and established under the provisions of Ch. 24 SeC. 11-136-1 et Seq of the
T_1 l i nni s Re~ri sed Statute ,for the purpose of constructing and operating a water supply distribution
system serving water users within the area described in plans now• on file in the office of the Purchaser and to accomplish
this purpose, the Purchaser will require a supply of treated water, and

present customers of the Seller's system and the estimated number of water users to be served by the said Purchaser as sho~a~n
in the plans of the system now on file in the office of the Purchaser, and

the purchase of water from the Seller in accordance with the terms set forth in ~ this Contract

Now, therefore, in consideration of the foeegoing and the mutual agreements hereinafter set forth,
A. The Seller Agrees:
1. (Quality and Quantity) To furnish the Purchaser at the point of delivery hereinafter specified, during the term of
this contract or any renewal or extension thereof, potable treated water meeting applicable purity standards of the
State of Illinois and United States of America

If a greater pressure than that at the point of delivery is required by the Purchaser, the cost of providing
such greater pressure shall be borne by the Purchaser„ Emergency failures ;of -pressure or supply due to main supply line
breaks, power failure, flood, fire and use of water to fight fire, earthquake or other catastrophe shall excuse the Seller from
this provision for such reasonable period of time as may be necessary to restore service.
3. (Metering Equipment) To furnish, install, operate, and maintain at its own expense at point of delivery, the
necessary metering equipment, including a meter house or pit, and required devices of standard type for properly measuring
the quantity of water delivered to the Purchaser and to calibrate such metering equipment whenever requested by the Purchaser
but not more frequently than once every twelve (12) months. A meter registering not more than two percent (2%) above or
below the test result shall be deemed to be accurate. The previous readings of any meter disclosed by test to be inaccurate

shall be corrected foi the months previous to such test in accordance with the percentage of
inaccuracy found by such tests. If any meter fails to register for any period, the amount of water furnished during such period
shall be deemed to be the amount of water delivered in the corresponding period immediately prior to the failure, unless Seller
and Purchaser shall agree upon a different amount, The metering equipment shall be read ~_ mthly

4, (Billing Procedure) To furnish the Purchaser at the above address not later than the _?nth day of
each month, with an itemized statement of the amount of water furnished the Purchaser during the preceding month.
B, The Purchaser Agrees:
1. (Rates and Payment Date) To pay seller, not later than the 20th
day of each month, for water delivered in accordance with the water rate
schedule presently existing under an ordinance of the City of Canton, a
copy of the schedule being attached as an exhibit A to this contract.
Seller agrees that at no time will rates for water furnished purchaser
exceed rates charged to general public consumers in the City of Canton.
2, (Connection Fee) To pay as an agreed cost, a connection fee to connect the Seller's system with the system
of the Purchaser, the sum of 25""' ~`"dollars tshich shall cover any and all costs of the Seller for installation

A
' 1. (Term of Contract) That this contract shall extend for a term of for 1L._years from the date of the initial
`~ delivery of any water as shown by the first bill submitted by the Seller to the Purchaser and, thereafter may be renewed or
extended for such term, or terms, as may be agreed upon by the Seller and Purchaser.
2. (Delivery of Water) That thirty days prior to the estimated date of completion of construction of the
Purchaser's water supply distribution system, the Purchaser will notify the Seller in writing the date for the initial delivery
of water.
3. (Water for Testing) When requested by the Purchaser the Seller will make available to the contractor at the
point of delivery, or other point reasonably close thereto, water sufficient for testing, flushing, and trench filling the system
of the Purchaser during construction, irrespective of whether the metering equipment has been installed at that time, at a

4. (Failure to Deliver) That the Seller will, at all times, operate and maintain its system in an efficient manner '
and will take such action as may be necessary to furnish the Purchaser with quantities of water requited by the Purchaser, j
Temporary or partial failures to deliver water shall be remedied with all possible dispatch. In the event of an extended t
shortage of water, or the supply of water available to the Seller is otherwise diminished over an extended period of time,
the supply of water to Purchaser's consumers shall be reduced or diminished in the same ratio or proportion as the supply to
Seller's consumers is reduced or diminished. 1

6. (Regulatory Agencies) That this contract is subject to such rules, regulations, or laws as may be applicable
to similar agreements in this State and the Seller and Purchaser will collaborate in obtaining such permits, certificates, or the
like, as may be required to comply therewith.
7. (Miscellaneous) That the construction of the water supply distribution system by the Purchaser is being financed
by a loan made or insured by, and/or a grant from, the United States of America, acting through the Farmers Home Administra-
tion of the United States Department of Agriculture, and the provisions hereof pertaining to the undertakings of the Purchaser
are conditioned upon the approval, in writing, of the State Director of the Farmers Home Administration.

9. Purchaser agrees to make advance payment to seller
in the sum of not more than ninety thousand dollars for
water to be furnished purchaser by seller. Seller agrees to
use this parment for the installation of a new water main in
the City of Canton in order to royide the pressure agreed
in section A-2 above (100 galp%~tm~-vt'~~I) to serve purchaser
under this agreement, the installation to be completed on or
before December 31, 1979. Seller agrees that upon the
inception of furnishing water under this contract, the
charges for same shall be credited to purchaser against the
advance payment, the charges for water to be at the rates
established by this contract. Seller agrees that purchaser
will also be credited for interest earned on the undepletzd
advance payment at the rate of five per cent per armum.
Each monthly credit shall be first applied to interest
accrued on the undepleted sum and the balance of each monthly
credit will reduce the undepleted advance payment. Seller
agrees that no direct charge will be made to ur baser for
canter furnished until the advance payment is pful~y depleted
and purchaser receives full credit for all interest that has
accrued. Seller agrees that the aforesaid advance payment
of ninety thousand dollars shall be paid by purchaser in not
more than three installments as work is completed on the
installation of the main, payments to be made on the joint
order of the engineers representing the parties hereto, the
final installment to be paid upon satisfactory completion of
all required work.
10. Purchaser agrees to pay for installation of main
from existing terminus of the City of Canton water main on
South Avenue B in the City of Canton at the Eagles Lodge to
connect the service to the present water system of purchaser.
If and when seller extends its corporate limits Southwardly,
seller will pay purchaser for the cost of the main from the
existing South terminus of seller's main on South Avenue B
at the Eagles Lodge to the new South corporation line. In
the event of any subsequent Southwardly extensions of the
corporation line of seller, seller will purchase the main
within the new extension. It is agreed that the sale and
purchase price will be based upon construction cost per
linear foot computed as an average. Seller agrees not
to connect to main of purchaser South of present South
terminus of City of Canton water main at Eagles Lodge
without purchasing the main. Seller will pay for all
costs associated with any change of meter location.
11. Seller agrees to acquire and bear the expense of
all easements for the project required within seller's
corporate limits and purchaser agrees to acquire and bear
the expense of all easements required outside the corporate
limits of seller.
12. The provisions of this contract pertaining to the
schedule of rates to be paid by purchaser for water delivered
are subject to modification. Any increase or decrease in
rates shall be based on a demonstrable increase or decrease
in the costs of performance hereunder. But however, purchaser
shall not be charged for additions extending seller's existing
system and capitalizations thereof, it being the understanding
of parties hereto that seller adheres to a policy of requiring
developers and new users to bear the expense of such extensions.
13. This agreement is subject to purchaser receiving a
commitment from Farmers Home Administration of the United States
of America to finance the improvements contemplated by this agreement.
In the event no commitment is received from Farmers Home Administration
on or before May 31, 1979, then at the option of either party

hereto, this agreement may be declared null and void by giving the
other party notice in writing of the declaration. In the event
that after part or all of the advance payment of ninety thousand
dollars by purchaser to seller is made and the agreement becomes
impossible for purchaser to complete for legal or other reasons,
then seller agrees to refund the total sum of advance payments
made under this agreement on or before December 31,.1990, the
obligation to bear interest at the rate of five per cent per
annum until it is paid and satisfied in full. In said event seller
will be credited with and may deduct from said obligation the
cost of water furnished purchaser under this contract,~if any.

I am today delivering herewith a proposed contract for water
to be sold by the City of Canton to the Dunfermline-St, David
Water & Sewer Commission which is in accordance with earlier
negotiations with you.
Farmers Home Administration has indicated that a loan to
our Commission for the purposes required by the contract could
be approved as early as ninety days from now provided that all
other matters required by them are submitted including an executed
contract with the City of Canton,
We will appreciate your prompt attention to this matter and
will be ready to meet a-ith you at the earliest possible time to

1. (Rates and Payment Date) To pay seller, not later than the day of each

Seller's consumers is reduced or diminished.

costs shall not include increased capitalization of the Seller's system. Other provisions of this contract may be modified or
altered by mutual agreement.
6. (Regulator, Agencies) That this contract is subject to such rules, regulations, or laws as may be applicable
to similar agreements in this State and the Seller and Purchaser will collaborate in obtaining such permits, certificates, or the
like, as may be required to comply therewith.
7. (~discellaneous) That the construction of the water supply distribution system by the Purchaser is being financed
by a loan made or insured by, and/or a grant from, the United States of America, acting throw the Farmers Home Administra-
tion of the United States Department of Agriculture, and the provisions hereof pertaining to the undertakings of the Purchaser
are conditioned upon the approval, in writing, of the State Director of the Farmers Home Administration.
8. (Successor to the Purchaser) That in the event of any occurence rendering the Purchaser incapable of per-
forming under this contract, any successor of the Purchaser, whether the result of legal process, assignment, or otherwise,
shall succeed to the rights of the Purchaser hereunder.
9. Purchaser agrees to make advance payment to seller in the sum
of ninety thousand dollars for water to be furnished purchaser by seller.
Seller agrees to use this payment for the installation of a twelve inch
t;ai.n in the City of Canton extending to the connection point for service
to purchaser at the South property 1ine.of the Eagles Lodge on South
Avenue B in the City of Canton in order to provide adequate pressure at
the connection point, the installation to be completed on or before

water under this contract, the charges for saner shall be credited to
purchaser against the advance payment, the charges for water to be at
the rates established by this contract. Seller agrees that purchaser
will also be credited for interest earned on the undepleted advance
payr~-~t at the rate of five per cent per arsiuin. Each 1r~orLthly credit
sL:all be first applied to interest accrued on the undepleted sum and the
balance of each rrbnthly credit will reduce the undepleted advance
payn~tint. Seller agrees that no direct charge will be made to purchaser
for water funli.shed until the advance payment is fully depleted and

10. Seller agrees not to connect to main of purchaser extending
from the present South corporate limits of seller, i.e., the South
property line of the Eagles Lodge on South Avenue B in Canton, without
written permission of purchaser.
