RESOLUTION N0. 956 A RESOLUTION APPROVING A "COMPROMISE AND SETTLEMENT AGREEMENT," AUTHORIZING AND DIRECTING THE MAYOR TO EXECUTE AND DELIVER THE SAME, AND, FURTHER, AUTHORIZING AND DIRECTING THE CITY TREASURER AND CITY CLERK TO MAKE DISBURSEMENTS AS IN SAID AGREEMENT CONTEM- PLATED. WHEREAS, the City of Canton and Urban Planning Consultants, Inc. have reached a tentative compromise and settlement agreement concern- ing a claim made by Urban Planning Consultants, Inc, against the City of Canton for $65,000.00; and, WHEREAS, the City of Canton is desirious of concluding the instant matter by entering into such tentative agreement with Urban Planning Consultants, Inc. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF CANTON, Fulton County, Illinois as follows: 1. That the "Compromise and Settlement Agreement" hereto attached is hereby approved by the Canton City Council. That the Mayor of the City of Canton is hereby authorized and instructed to execute and deliver duplicate original copies thereof. 2. That the City Treasurer and City Clerk are hereby authorized and directed to immediately disburse a one-time lump sum amount of $36,000.00 from the City's tax increment fund pursuant to the said agreement. 3. That all other City officers and officials are hereby authorized and instructed to take such reasonable and prudent steps in the implemen- tation of said agreement as may be necessary. 4. That this Resolution shall be in full force and effect immediately upon its passage by the City Council of the City of Canton and approval by the Mayor thereof. ATTEST: 3 ~ ancy ites, City Clerk. -~~~~ COMPROMISE AND SETTLEMENT AGREEMENT This Compromise and Settlement Agreement entered into this /~ day of c~c 1982, between the City of Canton, an Illinois muni ipal corporation, hereinafter called "City," and Urban Planning Consultants, Inc., an Illinois corporation, hereinafter called "UPC," WITNESSETH: WHEREAS, the City and UPC have heretofore entered into a certain written agreement dated June 1, 1977, entitled"Agreement #309," wherein UPC agreed to perform certain professional services for and on behalf of the City, all as in Agreement #309 more fully set forth; and, WHEREAS, a dispute has arisen between the City and UPC concerning the construction and meaning of certain of the terms of Agreement #309 relating to time of payment, manner of payment, and amount of payment or compensation to be received by UPC from the City; and, WHEREAS, the City and UPC are delirious of reaching a full and final settlement of all matters and causes of action arising out of Agreement #309, out of services rendered to the City by UPC pursuant to Agreement #309, and benefit derived from the City by reason of all such services. NOW, THEREFORE, in consideration of the mutual covenants set forth below, the City and UPC agree as follows: The City shall, within thirty (30) days of UPC's execution and delivery to the City of two (2) duplicate original copies hereof, pay unto UPC the sum of~ Thirty-six Thousand Dollars ($36,000.00). Contemporaneously there- with, the City shall deliver to UPC one (1) duplicate original hereof duly executed by appropriate City officials. Prior to the expiration of the aforesaid thirty day period, UPC shall cause its president and corporate secretary to execute and deliver to the City its Affidavit in form satisfactory to the City setting forth the names and mailing addresses of all persons, partnerships, associations and corporations presently or formerly associated with UPC who could conceivably make a claim or demand of any sort against the City by reason of UPC's services rendered to the City by reason of the said Agreement #309. The City's obligation to pay the sum of $36,000.00 to UPC is hereby specifically made contingent upon the City's receipt and acceptance of such Affidavit, and, further, upon the City's obtaining ft111 and complete releases of all claims and demands from all such persons, partnerships, associations and corporations. In the event that the City is unable to obtain full and complete releases as herein contemplated, this Compromise and Settlement Agreement shall be null and void and the City in no way shall be obligated to pay the sum of $36,000.00, or, any portion thereof, to UPC pursuant to this Compromise and Settlement Agreement. •The City and UPC hereby stipulate as follows: A. On or about June 1, 1977, the City and UPC entered into a certain written agreement entitled "Agreement #309," a true and correct copy of which is hereto attached as Exhibit A and herein incorporated by reference as fully as though set forth verbatim at this place. B. UPC claims that the City has failed to perform according to the terms of Agreement #309. As a result of such alleged non- performance, UPC has made demand of the City that the City pay unto UPC the sum of Sixty-five Thousand Dollars ($65,000.00), less credits to the City of Four Thousand Dollars ($4,000.00), in full consideration of UPC's performance under Agreement #309 and in full consideration of the City's receipt of benefits by reason of such performance. C. The City has denied UPC's claim and demand and asserts that no money sum is presently due and owed to UPC by the City. Further, the City asserts that Agreement #309 contains one or more misstatements of the form of consideration to be paid to UPC by the City, of the manner of such payment, and of the amount of consideration to be paid to UPC by the City. The City and UPC acknowledge that all matters arising out of Agreement #309 are hereby finally settled and compromised. The City and UPC each release the other from all rights and claims that each such party now has against the other arising from the facts and circumstances of Agreement #309. UPC, for itself, its successors and assigns, hereby releases and discharges the City, its successors and assigns, from all claims and causes of action that UPC had, now has, or may have, or that any person claiming through UPC may have or claim to have, against the City, its successors and assigns, based upon the above described Agreement #309, upon the servives provided the City by UPC, or, upon the benefit received by the City by reason of such services. UPC, for itself, its successors and assigns, hereby covenants with the City, its successors and assigns, that UPC shall cease and desist from suing or prosecuting the City for any claim or demand which UPC had, now has, or may have, or that any person claiming through UPC may have or claim to have, based upon Agreement #309, upon the services provided the City by UPC, or upon the benefit received by the City by reason of such services. UPC hereby, for itself, its successors and assigns, hereby covenants and warrants that all persons, partnerships, associations, corporations and suppliers of materials or services to UPC in support of UPC's rendering of services to the City pursuant to Agreement #309 have now been fully paid and compensated by UPC with respect to such materials or services. This Compromise and Settlement Agreement is intended to extinguish all rights and obligations of the City and of UPC with respect to Agreement #309. To accomplish that result, the City and UPC hereby declare that Agreement #309 is hereby rescinded and shall have no more effect than as if it had never been executed. This Compromise and Settlement Agreement is entered into by the City and UPC solely for the purpose of compromising and settling matters in dispute as above set forth. It does not constitute, nor shall it be construed as, an admission by either the City or UPC of the truth or validity of any claims asserted. Both the City and UPC realize that ,the facts on which the foregoing Compromise and Settlement Agreement is based may hereafter turn out to be other than or different from the facts in that connection now known by the City or UPC or believed by them to be true. The City and UPC each expressly accepts and assumes the risk of the facts so turning out to be different, and each of the City and UPC agrees that the foregoing Compromise and Settlement Agreement shall be in all respects effective and not subject to termination, rescission, or modification by reason of any such change in fact.
