SECTION 1: The Mayor and City Clerk of the City of Canton
are hereby authorized and directed to execute and deliver for and on behalf of the City of Canton
the Street and Traffic Lighting Service Agreement between the City of Canton
and Central Illinois Public Service Company, a copy of which is attached hereto marked Exhibit "A" and made a
part hereof.
SECTION 2: All ordinances or parts of ordinances in conflict herewith are hereby repealed.
SECTION 3: This ordinance shall take effect from and after its passage, approval and, if necessary, its
recordation.

AGREEMENT
THIS AGREEMENT, made and entered into in duplicate by and between the .City of
Canton ,Illinois, organized under the laws of the State of Illinois, party of the first
part, hereinafter referred to as "Customer", and CENTRAL ILLINOIS PUBLIC SERVICE COM-
PANY, acorporation organized and existing under the laws of the State of Illinois, party of the
second part, hereinafter referred to as "Company",
WITNESSETH:
The Company agrees to furnish the Customer with street lighting service, and electric energy for traffic signals,
as hereinafter set forth, for a period of ten years, commencing March 10 , 19 82 ,
and ending March 10 , 19 92 ,and for successive one year periods thereafter until
this agreement is terminated by thirty (30) days written notice given by one party to the other.
Service will be furnished to/from street lights and traffic signals as listed on the supplement sheet attached here-
~ to, and a part hereof, this agreement. Said (original) supplement sheet may be modified from time to time
v by; (a) revised supplement sheets which have been approved and executed by the Customer and the
Company, and/or (b) resolutions duly passed and approved or by other action as may be required by the
Q Customer. Revised supplement sheets, as described above, shall be attached to, and become a part of, this
agreement.
The Customer agrees to receive and pay the Company for said service in accordance with the Company's valid
applicable rates, terms and conditions as from time to time in effect, such rates, terms and conditions
being, respectively, at the present time Rate I1, Sheets 15.2, 15.3 and 15.4 and Terms and Conditions,
Sheet 18, all set forth in Company's Electric Service Schedule III. C. C. No. 9B, Section One. Neither the
execution by the Customer of this agreement nor anything contained herein shall limit or abridge any
right or remedy the Company has or would have, if this agreement had not been accepted, to change,
modify or supersede any of the rates, terms and conditions which now are or hereafter may be applicable
to any service to be rendered by the Company's rates, terms and conditions, as from time to time ap-
proved or permitted to become effective by the Illinois Commerce Commission to the service to be ren-
dered Customer hereunder, shall in no wise be affected by the existence of this agreement.
All apparatus and equipment to be furnished or maintained by the Company under this agreement shall be kept
in good order by the Company, and if from any cause any lamp shall in any month be shown by the
records of the Customer to have failed to burn during any portion of any period in which the same should
be kept burning under this agreement, a deduction from the contract price hereinabove specified, at the
proportional rate per lamp for the time during which such lamp shall fail to burn, shall be made in the
payment next thereafter made to Company by Customer provided that Customer shall give Company
prompt notice of such failure; and provided further that no deduction from the contract price shall be
made to the extent such failure is due to Customer delay in maintaining its system.

All apparatus and equipment furnished by the Company under this agreement shall be and remain the property
of the Company.
At the termination of this agreement the Company shall have the right to remove the property, or any part
thereof, furnished and/or installed by it under this agreement, and such right shall continue until the
expiration of ninety (90) days next following written notice to the Company from the Municipality to so
remove said property.
This agreement shall become effective and shall operate to cancel and annul that certain agreement heretofore
entered into by and between the parties hereto under date of April 18, 1979 except as
to amounts, if any, then owing by either of said parties to the other. The first monthly installment herein
provided for shall be made for service rendered during such part of the month beginning on the day on
which this agreement becomes effective. If the first monthly installment is for a period less than one
month, an adjustment shall be made on the basis of the proportionate part only of the calendar month in
said first service period.
This agreement shall inure to and be binding upon the successors and assigns of the respective parties hereto.
No modification hereof shall be binding unless in writing duly accepted by the Customer and approved by
the President or a Vice President of the Company.
IN WITNESS WHEREOF, the said Central Illinois Public Service Company has caused this instrument to be
executed in its corporate name by its President or a Vice President and attested by its Secretary or an
Assistant Secretary and its corporate seal to be affixed; and the City of Canton, Illinois,
has, by Ordinance duly passed and approved or by other action as may be required, caused this instru-

AVAILABILITY
Available upon execution of a written agreement to any municipality in which the Company renders electric public utility
servico pursuant to a license-contract with such municipality, and to unincorporated communities and subdivisions that are
represented by elected public officials or responsible business or citizens organizations. A customer who, upon expiration of
its present Street Lighting Agreement with the Company, fails to enter into a new written agreement with the Company will
be served under this rata; however, such customer will not be entitled to the "Additions, Removals and Changes" provision
of the rate.

Base prices for the above listed Cgmpany-0wned street lights , unless otherwise noted herein, include the installation, mainten-
ance .and operation pf a standard luminaire, lamp and bracket only on an existing (Company-0wned) distribution pole.
ALL STREET LIGHTS WILL BURN FROM DUSK-TO-DAWN EVERY NIGHT.
(a) Incandescent and 100 watt mercury vapor lamps will no longer be installed for street lighting, unless there exists between
the Company and the customer a street lighting agreement that specifically permits the addition of such lights. Aftet the
expiratbn of such sgreements'now in effect, additional lights will no longer be available.
(b) The Company offers an initial discount of $0.42 per month on the base price of 175 watt mercury vapor lamps to those
communities that convert all of their incandescent street lights to mercury vapor. For those communities malting such
conversion, said discount will be .applicable to all units that are so converted for the fast five (5) years of the new agree-
ment. After the expiration of said initial five (5) year period, the discount shall no longer apply.
Those communities- who are now receiving the above-mentioned discount under existing agreements will continue to
receive said dispount until the expiration of that agreement.
(c) The price shown for 175 Watt Mercury Vapor pedestal units includes the charges for the ornamental luminaire and pedestal,
and up to ISO feet of underground circuit for the installation thereof.
* (d) Standard 400 Watt Sodium Vapor Units wi6 not be available/installed where the mounting heial-t of the luminaire will be
less Bran 35 feet. The Company will make available in place thereof, special "cutoff' style luminaires for lower than
35 foot mountbg heights where the Customer agrees to pay b Company as a one-time initial payment the difference
between the cost of the "Standard" and "cutoff" luminaires.
CONTRACT/AGREEMENT
The initial term of the agreement hereunder shall be for a period of not less than ten (10) years for municipalities, five (5)
years for unincorporated communities, subdivisions and other organizations. Such initial term shall commence when the
Company begins to furnish service hereunder and, upon expiration of the initial term, the agreement shall be automatically
renewed for successive one (1) year periods thereafter unless written notice of termination is given by either party: (a) not
less than 30 days prior to any expiration date, or (b) when either party fails to fulfill its obligations under the terms and
conditions of the agreement and/or this schedule.
PAYMENT OF BILLS
The customer shah pay each month only for service performed hereunder by the Company for the preceding month and each
monthly payment shall include the charge per lighting unit per month as specified under this schedule. Charges for units
that are installed, removed or changed during a billing period will be prorated.

In the cane of non-taxing organizations, the Company reserves the right to require payment in advance and for original instal-
lations, such advance is to be based on the Company's investment.
The Customer shall notify the Company promptly of any interruption of service hereunder and give the Company not teas than
one (1) regular scheduled working day to restore the service. If the service is not restored at the expiration of such period,
Company shall make pro-rate adjustment of the chazges for the full period of the interruption; provided, however, that if the
interruption is due to a storm or other causes beyond the Company's control, the period for such adjustment of the charges
shall not begin until after a reasonable time for repairs, not to exceed two (2) regulaz scheduled working days, has elapsed.
ADDITIONS, REMOVALS AND CHANGES
Upon receipt of written request (Resolution) from the Customer, the Company will at its expense, and in accordance with
the rules and provision of this rate (a) install, at locations designated by the Customer, additional standard lighting units
which shall be connected to and operated as a part of the Company's street lighting system as covered by the terms herein;
and, (b) make changes in the type of lighting units, of remove any lighting units from service, provided the Company shall
not be required to make such change where the unit to be so changed has been installed less than one (1) year. (The one
(1) year provision shall not apply where the requested changes aze for the purpose of converting the street lighting system
from incandescent to mercury vapor.) The Company shall not be required to install additional lighting units or to substitute
units of a higher rating if the Customer is ih arrears in payment(s) for services furnished.
ADDITIONAL FACILITIES
Where additional facilities aze required, such as, but not limited to, wood poles, ornamental (metal or other) standards, circuits,
and/or guywires and anchors, charges for said additional facilities will be as follows: (a) wood poles and ornamental (metal
or other) standards, including up to 150 feet of overhead or underground circuit thereto, will be furnished by Company for
a monthly change of one-twelfth (1/12) of the annual cost of providing and maintaining such facilities, and/or (b) additional
(or different) circuitry, down-guys and anchors, and other facilities not specifically provided for herein, will be furnished by
the Company for which the Customer shall make an initial payment to the Company of an amount equal to the engineering
estimate of the cost of installing such facilities.
Monthly charges for the above mentioned additional facilities which are included under agreements in effect on March 26,
1980 shag continue to be applicable.
MUNICIPAL (CUSTOMER) OWNED FACILITIES
A customer who elects to install customerowned facilities shall do so in accordance with Company plans and specifications.
Service shall not commence until the Company has inspected and approved the installation as conforming thereto.
For street lights owned by the Customer, the Company will provide electric energy and replace glasswaze and lamps, provided
such glasswaze and lamps correspond to Company standazds.
All traffic signals and traffic flasher signals will be owned, maintained and operated by the Municipality. The Company will
supply energy only for these traffic lights. Traffic signals will be billed at a monthly charge for each 100 watts of connected load.
Where a Customer desires to install and own lighting units of a size and type not provided for herein, the Company may elect
to serve and maintain such lighting units provided: (a) they aze of a wattage compazable to the wattages of the mercury or
sodium vapor lamps listed in this rate, and (b) customer furnishes to the Company a supply of lamps for installation and
replacement in such units. The terms and conditions for service to such "non-standard" installations shall be incorporated
into the street lighting agreement.

Municipality (customer) shall protect, indemnify and save harmless the Company from all damages, injuries to persons, claims
and demands of every kind arising from, occasioned by or connected with the installation, maintenance or operation of mu•
nicipally owned street lights, all equipment and appliances pertaining to municipality's said lighting system; provided that
Municipality shall not be required to protect, indemnify and save harmless the Company from claims and demands due
solely to the negligence of the Company or its employees.

TERMS AND CONDITIONS
Service hereunder is subject to the general "Terms and Conditions" and "Tax Additions" of this Schedule and the following
further conditions:
The Company now has Street Lighting Agreements with many of the communities in which it renders electric utility service.
The Company wiB continue to serve those communities under the provisions of those street lighting agreements until the
end oP the month in which said agreements (and tariff sheets) expire. At such time a new street lighting agreement will be
entered into based on the charges set forth in this schedule.
Where an existing Agreement expires between March 25, 1980 and January 1, 1983, and the community/customer enters
into a new agreement under this schedule, the monthly billing shall be discounted as follows:
(a) Bills Por such services for the months commencing with the first month following the effective date of this schedule to and
through December, 1981, shall be discounted twenty (20°x) percent.
(b) Bills for such services commencing with the month of January, 1982, and continuing through the month of December,
1982, shall be discounted ten (10%) percent.
(c) No discount shall serve to reduce the monthly billing to an amount lower than the amount that was being billed when
this schedule initially becomes effective for the service provided to customer.
(d) No discounts shall be applicable after December 31, 1982.
Where moor changes are requested by a customer, service under this schedule may be subject to special contract arrangements.
