A RESOLUTION APPROVING AN AGREEMENT FOR SERVICES FOR STREET ART
MURAL IN JONES PARK
WHEREAS, the City of Canton has the ability to contract for services through the
Illinois Municipal Code for a multitude of different types of services; and
WHEREAS, the City owns real estate more commonly known as "Jones Park" which lies in
the center of the City's downtown area; and
WHERAS, located in Jones Park is a large steel box housing electrical apparatus which is
unsightly;
WHEREAS, the City works with Canton Main Street, a part of Spoon River Partnership
for Economic Development, an Illinois not-for-profit corporation;
WHEREAS, Canton Main Street is an organization that assists with the enhancement of
the City's downtown and Canton Main Street has identified individuals to paint a mural on the
steel box;
WHEREAS, the Community and Industrial Development Committee has determined that
it is in the best interests of the City of Canton that the City enter into an Agreement to allow or a
mural to be painted on the aforementioned steel box as many community activities and events
occur at Jones Park and the general public is exposed to the steel box, which is unsightly; and
WHEREAS, the Canton City Council has made a similar determination.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Canton,
Fulton County, Illinois as follows:
1. That the Canton City Council hereby finds the foregoing recitals to be fact.
2. That the agreement attached hereto and incorporated herein as Exhibit " A" is
hereby approved by the Canton City Council.
3. That the"Mayor is hereby authorized and directed to execute said ordinance on
behalf of the City of Canton.
4. That this resolution shall be in full force and effect upon its passage by the City
Council in the City of Canton, Illinois and approval of the mayor thereof
PASSED by the City Council of the City of Canton, Fulton County, Illinois at a
regular City Council meeting on this 7th day of May, 2019, upon a roll call vote as follows:

AGREEMENT FOR SERVICES
STREET ART MURAL IN JONES PARK
THIS AGREEMENT is made and entered into this fAA_day of ,
2019,by and between CANTON MAIN STREET, which is a part of Spoon River Partnership for
Economic Development, an Illinois not-for-profit corporation, (hereinafter "CMS"), the CITY
OF CANTON, an Illinois municipal corporation(hereinafter the "City"), MARNIE ESKRIDGE,
l Canton High School Art Instructor (hereinafter "Ms. Eskridge"), and KILEE LANCASTER,

} JULIA WHITE,and CHLOE.HOW-ELL, (hereinafter the"Artists").
WITNESSETH:
WHEREAS, CMS is an organization dedicated in part to the enhancement of the City's
downtown area through historical preservation and beautification; and
WHEREAS,Jones Park is a park which lies in the heart of the City's downtown area and
is the hub of community activities and events;and
WHEREAS, there is located in Jones Park a large steel box that houses, electrical
apparatus; and
WHEREAS, said large steel box is considered to be unsightly; and
WHEREAS, CMS desires to beautify the large steel box by painting it with images
creating.a piece of art within Jones Park(hereinafter the"Project"); and
WHEREAS,CMS has discussed the Project with Ms.Eskridge and the Artists;and
WHEREAS, Ms. Eskridge and the Artists desire to participate in the Project in an effort
to beautify the box; and
WHEREAS, CMS, Ms. Eskridge and the Artists have agreed-upon a design. for the
Project and compensation-for the services of the Artists;and
WHEREAS,the parties desire to set forth in this Agreement their understanding.

NOW, THEREFORE, in consideration of the mutual and several promises and

undertakings herein contained and for all other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties do hereby freely and voluntarily agree
as follows:
1. The foregoing recitals are made a part of this Agreement.
2. CMS will shop with the Artists for-paint and the supplies necessary for the
Project. The supplies necessary for the Project shall include approximately ten (10) colors of
paint, brushes,.drop cloths, seal coat and other,supplies necessary for the Project. CMS shall pay
for the paint and supplies necessaryfor the Project.
3. The City's Public Works Department will sand the large steel box in preparation
for the Project.
4. The Artists will paint the agreed upon design on the box as their time, schedules
and weather permits with a goal of completion of the Project by on or before
2019.
5. Upon completion of the Project, CMS will pay directly to each.Artist the sum of
Two Hundred Fifty Dollars ($250.00)for her creative and artistic services.
6. As time passes and weather deteriorates the art work on the box, CMS and the
City reserve the right to touch up the paint and/or to re-paint entire sides and/or the entire surface
of the box as may be deemed necessary or desirable in.the future by.CMS or the City.
7. Each of the parties hereto agree to indemnify the other parties to this Agreement
against and to hold the other parties harmless from any and all claims or demands for loss of or
damage to property or for injury or death to any person from any-cause-whatsoever arising from
the Project.

j 8. This Agreement sets forth the entire understanding of the parties. It.may only be
i amended,modified or terminated by an instrument signed by all of the parties hereto.
