A RESOLUTION APPROVING AN EASEMENT TO ALLOW AMEREN ILLINOIS
COMPANY TO INSTALL A ROUTER ON A POWER POLE
WHEREAS, the Canton City Council was approached by Ameren Illinois Company,
d/b/a, Ameren Company (hereinafter"Ameren"), an Illinois Corporation, relative to their attempt
to install a router to obtain information to provide more efficient energy to the citizens of the
City of Canton, Illinois;
WHEREAS, the router to be installed would be installed on a power pole located around
East North Shore Drive, North Lake Breeze Drive and North Upper Road;
WHEREAS, to install the router on the proper pole the City of Canton would have to
grant Ameren an easement to allow for not only installation, but also maintenance and data
collection;
WHEREAS, the City of Canton City Council found providing this easement to be for the
public benefit and in the best interest of the City and gave the Mayor the authority to execute
said Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL
OF THE CITY OF CANTON, ILLINOIS,AS FOLLOWS:
1. That the proposed easement, attached hereto and incorporated herein as Exhibit"A", is
hereby approved by the Canton City Council and shall be provided to Ameren.
2. That this Resolution shall be in full force and effect immediately upon its passage by the
City Council of the City of Canton, Illinois and approval by the Mayor thereof.
PASSED by the City Council of the City of Canton, Illinois at a regular meeting this 3rd day of
July, 2018 upon a roll call vote as follows:
AYES: Aldermen John Lovell, Craig West, Angela Hale, Tad Putrich
NAYS: None
ABSENT: Aldermen Ryan Mayhew, Angela Lingenfelter, Justin Nelson

KNOW ALL MEN BY THESE PRESENTS, this 2 day of , 20 1 o , that City of Canton, its
successors and assigns, whether one or more and whether an individtiial, individuals, a corporation or other legal entity
(hereinafter "Grantor"), for and in consideration of the sum of One and No/100ths Dollars ($1.00) and other valuable
consideration in hand paid, the receipt of which is hereby acknowledged, does hereby grant unto AMEREN ILLINOIS
COMPANY d/b/a AMEREN ILLINOIS,an Illinois corporation, its successors, assigns, licensees,agents, lessees, contractors,
sub-contractors and tenants(hereinafter"Grantee"), the perpetual right and easement to construct, reconstruct, replace, use,
operate, maintain, inspect, and patrol a telecommunications device or devices, consisting of wires, routers, collectors,cables,
conduits, fixtures, and other appurtenances thereto (the "Facilities"), on one or more utility poles or structures currently or
hereinafter located upon, the following described land, in Fulton County, Illinois, to-wit:
Part of the North Half of Section Nineteen(19),Township Seven North, Range Five East of the 4th P.M., Fulton County, Illinois.
Said singular, existing pole located on the northerly side of the intersection of E North Shore Drive, N Lake Breeze Drive and
N Upper Road.

together with all rights reasonably implied by and incidental to the exercise and enjoyment of said easement rights, including
without limitation the right of ingress and egress to and over the above described land and premises of Grantor adjoining the
same, for all purposes herein stated, together with the right to perform vegetation management to the extent not otherwise
performed by the owner of the utility poles or structures to the extent necessary to prevent interference with the exercise and
enjoyment of Grantee's rights hereunder, or ensure the safety of,said Facilities;the right to assign its easement or any portion
thereof for the purposes hereinabove set out; and the right to remove the Facilities at any time.
Grantee shall be responsible for actual damages occurring to the herein described property as a result of the rights
granted herein and shall reimburse the owner thereof for such loss or damages. Grantee shall not be responsible for any
indirect, consequential or punitive damages.
Grantor, for itself, its successors and assigns, does hereby warrant and covenant unto Grantee, (1)that Grantor is the
owner of the above-described land and has full right and authority validly to grant this easement without any additional
consents or approvals, (2) that Grantee may quietly enjoy the access to and the use of its Facilities for the purposes herein
stated,and (3)that Grantor will not create or permit any building or other obstruction or condition of any kind or character that
will interfere with the Grantee's exercise and enjoyment of the easement rights hereinabove conveyed.

This easement conveyance shall run with the land and shall be binding upon the parties hereto,their heirs,successors,
executors, administrators, and assigns.
